Payment for this Purchase Order shall be made in accordance with the following schedule, all amounts denominated in Euros (EUR) and payable via bank transfer to the Chemical Engineer's registered account in Spain Barcelona:
- 30% advance payment upon signature of this Purchase Order and confirmation of the Chemical Engineer's availability.
- 40% upon completion and acceptance of the process audit report and wastewater treatment design documentation.
- 30% upon final delivery of all remaining deliverables, including the EIA documentation, training completion certificates, and the final advisory summary report.
All payments are subject to a 30-day payment term from the date of invoice receipt, in compliance with the Spanish Late Payment Act (Ley 3/2004) applicable in Spain Barcelona.
Important: This Purchase Order is governed by the Spanish Civil Code and the applicable commercial regulations of the Autonomous Community of Catalonia. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Barcelona, Spain. The Chemical Engineer shall maintain full professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of €1,000,000, registered with the Col·legi d'Enginyers Químics de Catalunya.The Chemical Engineer warrants that all services rendered under this Purchase Order shall comply with all applicable Spanish and European Union legislation, including but not limited to the Spanish Occupational Risk Prevention Law (Ley 31/1995), the REACH Regulation (EC) No 1907/2006, and the specific industrial activity regulations enforced by the Barcelona Provincial Council (Diputació de Barcelona). The Chemical Engineer shall bear full professional responsibility for the accuracy, safety, and regulatory compliance of all technical work performed at the Spain Barcelona facility.
Confidentiality: All proprietary information, process data, and trade secrets disclosed to the Chemical Engineer in the course of this Purchase Order shall be treated as strictly confidential. The Chemical Engineer shall not disclose, reproduce, or use such information for any purpose other than the fulfillment of this Purchase Order without prior written consent from the buyer.
