This Purchase Order is issued by Iberia Process Solutions S.L. to engage the professional services of a qualified Chemical Engineer for the design, optimization, and regulatory compliance review of a new petrochemical processing facility located in the industrial zone of Spain Valencia, specifically within the Polígono Industrial de Alboraya. The Chemical Engineer shall provide full technical oversight in accordance with the Spanish Royal Decree 1004/1985 on the exercise of the Chemical Engineering profession and all applicable regulations of the Generalitat Valenciana.
The engagement of this Chemical Engineer is critical to ensure that all process design parameters, material selection, safety protocols, and environmental impact assessments comply with both national Spanish legislation and the specific industrial regulations governing the Spain Valencia metropolitan area. The Chemical Engineer shall report directly to the Project Director and shall be physically present at the Spain Valencia project site a minimum of four (4) days per week throughout the contracted period.

- Payment shall be made in three (3) equal installments: 30% upon acceptance of this Purchase Order, 40% upon completion of the design and HAZOP deliverables, and 30% upon final commissioning sign-off at the Spain Valencia site.
- All payments shall be processed via bank transfer (SEPA) to the account designated by the Chemical Engineer. IBAN: ES91 2100 0418 4502 0005 1332.
- Invoices must be submitted in accordance with the Spanish electronic invoicing system (Factura Electrónica) as mandated by the Agencia Tributaria.
- Payment terms: Net 30 days from the date of invoice receipt.
- This Purchase Order is governed by the Spanish Civil Code and the applicable commercial regulations of the Valencian Community (Comunidad Valenciana).
- The Chemical Engineer warrants that all professional services rendered shall comply with the ethical code of the Colegio Oficial de Ingenieros Químicos de Valencia and all applicable Spanish and European Union regulations.
- The Chemical Engineer shall maintain professional indemnity insurance with a minimum coverage of EUR 1,000,000, valid throughout the duration of this Purchase Order and for a period of two (2) years thereafter.
