- This Purchase Order is subject to the laws of the Democratic Socialist Republic of Sri Lanka and shall be governed by the Contract Act No. 25 of 1876 as amended.
- The Chemical Engineer engaged under this Purchase Order must hold a valid professional registration with the Institution of Engineers, Sri Lanka, and possess a minimum of ten (10) years of experience in chemical process industries.
- All services shall be rendered at the buyer's premises located in the Colombo Industrial Zone, Sri Lanka Colombo, or at such other location in Colombo as mutually agreed in writing.
- The supplier shall ensure that the Chemical Engineer complies with all applicable occupational health and safety regulations as enforced by the Department of Labour, Sri Lanka, and the relevant environmental standards set by the Central Environmental Authority.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the supplier, subject to satisfactory completion of each milestone as defined in the project schedule attached to this Purchase Order.
- The supplier warrants that all deliverables produced by the Chemical Engineer shall be original, free from intellectual property infringement, and shall remain the exclusive property of the buyer upon full payment.
- Either party may terminate this Purchase Order with fourteen (14) days written notice in the event of material breach by the other party. Upon termination, the buyer shall be liable only for services rendered up to the date of termination.
- All disputes arising from this Purchase Order shall be resolved through arbitration in Colombo, Sri Lanka, in accordance with the Arbitration Act No. 11 of 1995.
- The supplier shall maintain professional indemnity insurance with a minimum coverage of LKR 10,000,000 for the duration of the engagement.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Chemical Engineer professional services in Sri Lanka Colombo. This document shall be executed in two (2) original copies, one for each party.
