- Scope of Work: This Purchase Order authorizes the engagement of qualified Chemical Engineer professionals to perform the services described in the line items above. All work shall be conducted in compliance with the Thai Engineering Profession Act B.E. 2542 (1999) and applicable regulations of the Council of Engineers, Thailand. The Chemical Engineer assigned to this Purchase Order must hold a valid professional license and a minimum of ten (10) years of experience in petrochemical and process industries.
- Place of Performance: All on-site services, inspections, audits, and training sessions referenced in this Purchase Order shall be performed at the Thailand Bangkok facility located at 128/44 Sukhumvit Road, Klongtoey, Watthana, Bangkok 10110, Thailand, or at the satellite manufacturing plant in the Bangkok Industrial Estate, Samut Prakan, as directed by the Purchasing Department of Thailand Bangkok Industrial Solutions Co., Ltd.
- Payment: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice (Fap Khong Thung) issued by the vendor. Payment shall be processed via bank transfer to the account specified in the vendor information section. All amounts are denominated in Thai Baht (THB) and are subject to the 7% Value Added Tax as mandated by Thai tax law.
- Quality & Acceptance: Deliverables under this Purchase Order, including all engineering reports, design documents, HAZOP findings, and training materials, shall be reviewed and approved by the Project Manager of Thailand Bangkok Industrial Solutions Co., Ltd. within fifteen (15) business days of submission. The Chemical Engineer shall rectify any non-conformities at no additional cost within ten (10) business days of written notice.
- Confidentiality: The Chemical Engineer and all associated personnel shall treat all proprietary data, process parameters, and operational information of Thailand Bangkok Industrial Solutions Co., Ltd. as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Insurance & Liability: The vendor shall maintain professional indemnity insurance with a minimum coverage of THB 10,000,000 and public liability insurance of THB 5,000,000 for the duration of this Purchase Order. The Chemical Engineer shall be fully liable for any damage to equipment, property, or personnel arising from negligence or non-compliance with Thai safety standards during the execution of services.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all services rendered and approved up to the termination date. Any in-progress deliverables shall be handed over in a usable format.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising herefrom shall be resolved through the Bangkok Court of Justice or, at the buyer's discretion, through arbitration under the rules of the Thai Arbitration Institute.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in Thailand Bangkok.
