All prices are quoted in British Pounds Sterling (GBP). VAT is charged at the current United Kingdom standard rate of 20%. The supplier must be registered for VAT in the United Kingdom and must provide a valid VAT invoice upon completion of each service milestone.
Terms and Conditions- This Purchase Order constitutes a binding agreement between Thames Valley Process Solutions Ltd. (the "Buyer") and Meridian Chemical Engineering Consultants Ltd. (the "Supplier") for the provision of professional Chemical Engineer services as described herein. All services shall be performed at the Buyer's premises located in London, United Kingdom, unless otherwise agreed in writing.
- The Chemical Engineer engaged under this Purchase Order must hold a valid IChemE Chartered Engineer (CEng) designation and maintain professional indemnity insurance of no less than £5,000,000 per claim throughout the duration of the engagement. Proof of insurance shall be provided prior to commencement of work.
- All work performed under this Purchase Order shall comply with the Health and Safety at Work etc. Act 1974, the Control of Substances Hazardous to Health (COSHH) Regulations 2002, and all applicable UK Health and Safety Executive (HSE) guidance documents relevant to chemical process operations in the London, United Kingdom area.
- Payment shall be made within thirty (30) calendar days of receipt of a valid VAT invoice from the Supplier. Invoices must reference this Purchase Order number (PO-2025-CE-LDN-0472) and shall be submitted to the Buyer's accounts payable department at the London, United Kingdom address stated above.
- The Supplier warrants that the Chemical Engineer assigned to this Purchase Order shall not be engaged in any conflicting professional obligations that would compromise the quality, timeliness, or confidentiality of the services rendered to the Buyer.
- All intellectual property, reports, drawings, and documentation produced by the Chemical Engineer in the course of fulfilling this Purchase Order shall become the sole property of the Buyer upon full payment. The Supplier shall not reproduce or distribute such materials without prior written consent.
- This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
- The Buyer reserves the right to amend, vary, or cancel this Purchase Order in whole or in part by written notice to the Supplier. In the event of cancellation, the Supplier shall be compensated for work completed and reasonable, documented expenses incurred up to the date of cancellation.
- The Supplier shall ensure that the Chemical Engineer and any supporting personnel comply with all site-specific health and safety protocols, including but not limited to the wearing of appropriate personal protective equipment (PPE) as mandated for chemical processing environments in the London, United Kingdom industrial sector.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data exchanged in connection with this Purchase Order. This obligation shall survive the termination or completion of the Purchase Order for a period of five (5) years.
