- This Purchase Order constitutes a binding agreement between Manchester Industrial Process Solutions Ltd. and Apex Chemical Engineering Consultancy Ltd. upon written acceptance by both parties. All services described herein shall be performed by a suitably qualified and chartered Chemical Engineer holding membership of the Institution of Chemical Engineers (IChemE) and registered with the Engineering Council (EngC) in the United Kingdom.
- All work shall be carried out at the buyer's premises located in United Kingdom Manchester, or at such other locations within the Manchester metropolitan area as may be mutually agreed in writing. The Chemical Engineer shall comply with all site-specific health, safety, and environmental protocols in force at the United Kingdom Manchester facility.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Invoices must reference this Purchase Order number (UK-MAN-CE-2025-04872) and shall be submitted to the accounts payable department at Manchester Industrial Process Solutions Ltd., Salford Quays, Manchester, United Kingdom.
- The Chemical Engineer shall maintain professional indemnity insurance with a minimum cover of GBP 5,000,000 and public liability insurance of not less than GBP 10,000,000 for the duration of the engagement. Certificates of insurance shall be provided prior to commencement of work.
- All intellectual property, technical reports, process models, and documentation produced under this Purchase Order shall become the sole property of Manchester Industrial Process Solutions Ltd. upon full payment. The Chemical Engineer shall not reuse, disclose, or publish any proprietary information obtained during the engagement without prior written consent.
- Any variation to the scope of work, timeline, or cost must be agreed in writing via a formal variation order referencing this Purchase Order. No additional charges will be accepted without prior written authorisation from the Director of Procurement.
- This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of United Kingdom Manchester and the wider United Kingdom legal system.
- The Chemical Engineer shall adhere to all applicable United Kingdom legislation, including but not limited to the Health and Safety at Work etc. Act 1974, the Control of Substances Hazardous to Health (COSHH) Regulations 2002, and the Environmental Protection Act 1990, as amended.
- Failure to meet the project completion deadline of 31 December 2025 without valid written justification may result in a penalty of 1.5% of the total Purchase Order value per calendar week of delay, capped at 10% of the total value.
- This Purchase Order may not be assigned or subcontracted in whole or in part without the prior written consent of Manchester Industrial Process Solutions Ltd. Any approved subcontracting of specialist tasks by the Chemical Engineer must be disclosed in writing at least fourteen (14) days before the subcontracted work commences.
By signing below, both parties confirm that this Purchase Order for the engagement of a Chemical Engineer in United Kingdom Manchester has been reviewed, understood, and accepted in full. The terms set out herein shall govern the professional relationship for the duration of the project.
