Terms and Conditions
- This Purchase Order constitutes a binding agreement between Pacific Basin Industrial Solutions, Inc. and Meridian Process Engineering Group, LLC for the engagement of qualified Chemical Engineer professional services to be performed primarily at the buyer's facility located in Los Angeles, California, United States.
- The assigned Chemical Engineer, Dr. James R. Whitfield, P.E., must hold a valid California Professional Engineer license and shall maintain all professional liability insurance coverage of no less than $2,000,000 per occurrence throughout the duration of this Purchase Order.
- All work performed under this Purchase Order shall comply with applicable federal, state, and local regulations of the United States, the State of California, and the City of Los Angeles, including but not limited to OSHA standards, EPA regulations, and CARB air quality mandates.
- Payment shall be made via wire transfer to the vendor's designated bank account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as permitted under California Commercial Code Section 2304.
- The vendor shall provide weekly progress reports detailing the Chemical Engineer's activities, hours logged, deliverables completed, and any identified process deviations or safety concerns. All reports shall be submitted electronically to the buyer's procurement office in Los Angeles.
- Intellectual property developed specifically for the buyer under this Purchase Order, including process designs, kinetic models, and safety analyses, shall become the sole property of Pacific Basin Industrial Solutions, Inc. upon full payment.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the State of California, United States of America. Any disputes arising hereunder shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
- The vendor shall not subcontract any portion of the Chemical Engineer services without prior written consent from the buyer. All personnel assigned to this project must pass the buyer's site safety orientation and background screening prior to entry at the Los Angeles facility.
- This Purchase Order may be amended only by mutual written agreement of both parties. No oral modifications shall be valid or enforceable.
- Force majeure events, including but not limited to natural disasters affecting the Los Angeles area, shall excuse timely performance for the duration of the event, provided written notice is given within forty-eight (48) hours.
