- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States, and applicable federal regulations. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Miami-Dade County, Florida, United States.
- Scope of Work: The Chemical Engineer shall perform all duties in strict accordance with the professional engineering standards established by the Florida Board of Professional Engineers. The Chemical Engineer must hold a valid Professional Engineer (P.E.) license issued by the State of Florida, United States, and shall maintain all required professional liability insurance with a minimum coverage of $2,000,000 per occurrence.
- Performance Location: All on-site services, inspections, and supervisory activities under this Purchase Order shall be conducted at the Meridian Process Solutions facility located at 1200 Brickell Avenue, Miami, Florida 33131, United States, or at such other locations within the Miami metropolitan area as mutually agreed upon in writing.
- Payment Terms: Payment shall be made net 30 days from the date of invoice receipt. Invoices must reference this Purchase Order number (PO-2025-MIA-CE-0047) and itemize hours worked per line item. Late payments shall accrue interest at a rate of 1.5% per month as permitted under Florida Statute Chapter 668.
- Deliverables: The Chemical Engineer shall submit all engineering drawings, calculations, reports, and regulatory filings in both digital (PDF, CAD) and hard-copy formats. All deliverables related to the Miami facility must be submitted to the Project Manager no later than the 25th business day of each month.
- Confidentiality: The Chemical Engineer agrees to maintain strict confidentiality of all proprietary process data, trade secrets, and operational information pertaining to Meridian Process Solutions, Inc. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Chemical Engineer shall be compensated for all hours worked and approved deliverables completed up to the effective date of termination.
- Compliance: The Chemical Engineer warrants that all services rendered under this Purchase Order shall comply with the Occupational Safety and Health Administration (OSHA) standards, the Clean Air Act, the Clean Water Act, and all applicable environmental regulations of the United States and the State of Florida.
- Insurance: Prior to commencing work, the Chemical Engineer shall provide a Certificate of Insurance evidencing general liability, professional liability, and workers' compensation coverage as required by Florida law.
