- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, United States, and the municipal ordinances of New York City. Any disputes arising from this Purchase Order shall be resolved in the state or federal courts located in New York County, New York City.
- Professional Standards: The Chemical Engineer shall perform all services in a professional and workmanlike manner consistent with the standards of practice prevailing in the field of chemical engineering in the United States. All deliverables shall comply with applicable New York State Education Law (Article 140), ASME, API, OSHA, EPA, and New York City Department of Buildings regulations.
- Licensing and Certification: The Chemical Engineer warrants that they hold a valid, active Professional Engineer (P.E.) license issued by the New York State Education Department, Board for Professional Engineers, Land Surveyors, and Geologists. The license shall remain in good standing for the duration of this Purchase Order.
- Payment Schedule: Invoices shall be submitted monthly. Payment is due within thirty (30) calendar days of the invoice date via ACH transfer or certified check to the address on file. Late payments shall accrue interest at 1.5% per month as permitted under New York State law.
- Intellectual Property: All designs, calculations, reports, and deliverables produced under this Purchase Order shall become the sole property of Meridian Industrial Solutions, Inc. upon full payment. The Chemical Engineer retains the right to reference the work in a general, non-identifiable capacity for portfolio purposes.
- Confidentiality: The Chemical Engineer agrees to maintain strict confidentiality of all proprietary information, trade secrets, and process data encountered during the performance of services in New York City. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Insurance: The Chemical Engineer shall maintain, at their own expense, Commercial General Liability insurance of not less than $2,000,000 per occurrence and Professional Liability (Errors & Omissions) insurance of not less than $5,000,000 per claim, with Meridian Industrial Solutions, Inc. named as an additional insured. Certificates of insurance shall be provided prior to commencement of work.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Chemical Engineer shall be compensated for all services rendered and documented expenses incurred up to the effective date of termination.
- Compliance with New York City Regulations: All on-site work performed in New York City shall comply with the New York City Administrative Code, including but not limited to Title 31 (Buildings), Title 17 (Environmental Protection), and all applicable Local Laws enacted by the New York City Council.
- Independent Contractor Status: The Chemical Engineer is engaged as an independent contractor and not as an employee of Meridian Industrial Solutions, Inc. The Chemical Engineer is solely responsible for all federal, state, and local tax obligations arising from compensation received under this Purchase Order.
All deliverables, including but not limited to process flow diagrams, reactor design packages, compliance reports, and safety assessments, shall be submitted in both electronic (PDF and editable CAD/Excel formats) and hard-copy form to the buyer's office at 350 Fifth Avenue, New York City, New York 10118, United States. The buyer shall have ten (10) business days to review and accept or reject each deliverable. Rejection must be accompanied by a written description of deficiencies. The Chemical Engineer shall have five (5) business days to address and resubmit rejected items at no additional cost.
