Terms and Conditions
- Scope of Work: The Chemical Engineer shall perform all services in strict accordance with the project specifications attached as Exhibit A to this Purchase Order. All engineering deliverables must be stamped and sealed by a licensed Professional Engineer in the State of California, United States.
- Performance Location: All on-site work shall be conducted at the buyer's facility located at 2200 Industrial Parkway, San Francisco, United States, CA 94124. Remote work may be performed from the Chemical Engineer's office in San Francisco, United States, as mutually agreed.
- Payment Schedule: 30% upon execution of this Purchase Order, 40% upon delivery of the completed process design package, 20% upon successful HAZOP sign-off, and 10% upon final commissioning acceptance. All invoices are payable Net 30 days from the date of invoice.
- Insurance: The Chemical Engineer shall maintain Professional Liability (Errors & Omissions) insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 aggregate, as well as General Liability insurance of $1,000,000, throughout the duration of this Purchase Order.
- Compliance: The Chemical Engineer warrants that all services rendered under this Purchase Order shall comply with the California Health & Safety Code, the U.S. Clean Air Act, the U.S. Clean Water Act, OSHA 29 CFR 1910, and all applicable San Francisco municipal ordinances governing chemical processing and industrial operations in the United States.
- Intellectual Property: All process designs, calculations, reports, and documentation produced under this Purchase Order shall become the sole property of Golden Gate Process Solutions, Inc. upon full payment. The Chemical Engineer retains the right to reference the project in professional portfolios with prior written consent.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the buyer shall pay for all services rendered and materials procured up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes shall be resolved through binding arbitration in San Francisco, United States, in accordance with the rules of the American Arbitration Association.
- Confidentiality: The Chemical Engineer agrees to maintain strict confidentiality of all proprietary process information, trade secrets, and business data disclosed during the course of this Purchase Order for a period of five (5) years following project completion.
