1. Scope of Engagement: The Chemical Engineer engaged under this Purchase Order shall perform all duties at the buyer's facility in Vietnam Ho Chi Minh City, District 7, in compliance with the Labor Code of Vietnam (2019) and all applicable local regulations governing foreign technical personnel.
2. Qualification Requirements: The Chemical Engineer must hold a minimum of a Bachelor's degree in Chemical Engineering (or equivalent) from an accredited institution, possess a valid Vietnamese professional practice license, and demonstrate a minimum of five (5) years of post-graduate experience in petrochemical or pharmaceutical process engineering.
3. Delivery and Commencement: The Chemical Engineer shall report for duty no later than 1 August 2025 at the designated workplace in Vietnam Ho Chi Minh City. The vendor is responsible for securing all necessary work permits, temporary residence cards, and social insurance registrations prior to the commencement date.
4. Payment Schedule: Payment for this Purchase Order shall be made in three (3) equal installments: 40% upon contract execution, 30% upon the Chemical Engineer's successful onboarding and first 90-day performance review, and 30% upon completion of the twelve-month engagement period. All payments shall be made via bank transfer to the vendor's account in Vietnam Ho Chi Minh City.
5. Compliance and Safety: The Chemical Engineer shall adhere to all occupational health and safety standards mandated by the Ministry of Labor, Invalids and Social Affairs of Vietnam, as well as the specific chemical handling protocols established at the Ho Chi Minh City facility.
6. Confidentiality: All proprietary process data, chemical formulations, and trade secrets disclosed to the Chemical Engineer during the term of this Purchase Order shall remain strictly confidential in accordance with Vietnamese intellectual property law and the mutual NDA executed on 10 June 2025.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the vendor shall ensure an orderly transition of the Chemical Engineer's responsibilities and deliver all project documentation to the buyer within fourteen (14) days.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City.
9. Tax Obligations: The vendor shall be responsible for all personal income tax withholding applicable to the Chemical Engineer as required by Vietnamese tax law. The buyer shall provide all necessary documentation for tax filing purposes in Vietnam Ho Chi Minh City.
