- Regulatory Compliance: All pharmaceutical products listed in this Purchase Order must hold valid ANVISA registration and be in full compliance with Brazilian federal health regulations. The supplier (Chemist distributor) warrants that all items are manufactured, stored, and transported in accordance with Good Distribution Practices (GDP) as mandated for the Brasília, DF market.
- Delivery: The supplier shall deliver all items to the designated Chemist facility located at Av. W3 Sul, Quadra 01, Bloco A, Loja 15, Asa Sul, Brasília – DF, no later than 28 June 2025. Delivery must occur between 08:00 and 16:00 BRT (Brasília Time). Cold-chain items (Item 03) must be transported in validated temperature-controlled vehicles with continuous monitoring logs provided upon delivery.
- Payment: Payment shall be made via bank transfer (TED/PIX) to the supplier's account within thirty (30) calendar days from the date of the commercial invoice (Nota Fiscal) issued in Brasília. Late payments shall accrue interest at the rate of 1% per month plus a 2% penalty, in accordance with Brazilian commercial law.
- Quality Assurance: The Chemist buyer reserves the right to inspect all goods upon receipt. Any product found to be expired, damaged, mislabeled, or lacking proper ANVISA documentation shall be rejected at no cost to the buyer. The supplier must replace rejected items within five (5) business days.
- Warranty: All equipment items (Items 05 and 06) carry a minimum twelve (12) month manufacturer warranty. The supplier shall coordinate any warranty claims and provide technical support for the Chemist facility in Brasília.
- Intellectual Property & Branding: All products must be supplied in their original manufacturer packaging with Portuguese-language labeling as required for sale in Brazil Brasília. No repackaging or relabeling is permitted without prior written authorization.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government decrees affecting Brasília, or supply chain disruptions. Affected parties must notify the other within 48 hours.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brasília, DF. Any disputes shall first be subject to mediation before the Commercial Arbitration Center of Brasília.
- Confidentiality: Both parties agree to maintain the confidentiality of pricing, quantities, and commercial terms contained in this Purchase Order. This obligation survives termination for a period of two (2) years.
