- Regulatory Compliance: All products listed in this Purchase Order must comply with ANVISA (Agência Nacional de Vigilância Sanitária) regulations in force in Brazil. The supplier warrants that every pharmaceutical item shipped to the Chemist facility in São Paulo carries a valid registration number and is within its expiration date by a minimum of 18 months from the delivery date.
- Chemist Quality Assurance: The Chemist (Farmácia São Paulo Central Ltda.) reserves the right to inspect all incoming goods upon arrival at the São Paulo warehouse. Any product found damaged, expired, or lacking proper ANVISA documentation will be rejected and returned at the supplier's expense within five (5) business days.
- Delivery in Brazil São Paulo: The supplier shall deliver all items to the designated Chemist address in the city of São Paulo, state of São Paulo, Brazil. Delivery must occur between 08:00 and 16:00 BRT (Brasília Time) on the required delivery date. The supplier is responsible for all transportation, insurance, and handling costs within the Brazil São Paulo metropolitan area.
- Cold Chain Requirements: Items requiring refrigeration (e.g., Insulina Glargina) must be transported in validated cold-chain packaging maintaining temperatures between 2°C and 8°C throughout transit to the Chemist facility in São Paulo. Temperature loggers must accompany each cold-chain shipment.
- Payment: Payment of R$ 174,280.40 shall be made via TED (Transferência Eletrônica Disponível) to the supplier's bank account within thirty (30) calendar days from the date of the commercial invoice (Nota Fiscal) issued in Brazil São Paulo. Late payments shall accrue interest at the rate of 1% per month plus SELIC index as per Brazilian commercial law.
- Warranty and Returns: The supplier guarantees that all Chemist products are free from manufacturing defects. In the event of a product recall ordered by ANVISA or the manufacturer, the supplier shall replace the affected stock at no additional cost to the Chemist within ten (10) business days.
- Confidentiality: Both parties agree to maintain confidentiality regarding pricing, volumes, and commercial terms specified in this Purchase Order. This obligation survives termination of the agreement for a period of two (2) years.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of São Paulo, state of São Paulo, Brazil.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting the Brazil São Paulo region.
