Important Conditions of This Purchase Order
4.1 This Purchase Order is governed by the Civil Code of the People's Republic of China and applicable regulations of the Shanghai Municipal Government. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC).
4.2 All equipment and reagents listed in this Purchase Order must be certified for use by a licensed Chemist in a pharmaceutical or analytical laboratory setting within China Shanghai. The supplier shall provide valid NMPA registration certificates, CE markings, and ISO 9001 quality certifications for every item upon delivery.
4.3 The supplier is required to deliver all goods to the designated warehouse in China Shanghai no later than the required delivery date stated above. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
4.4 The buyer reserves the right to inspect all delivered items within five (5) business days of receipt. Any items found to be defective, damaged, or non-conforming to the specifications outlined in this Purchase Order must be replaced or refunded at the supplier's sole expense within ten (10) business days.
4.5 Payment shall be made via bank transfer to the supplier's designated corporate account in RMB (CNY). The supplier must issue a valid VAT (Value-Added Tax) invoice (fapiao) in accordance with the tax regulations of the State Taxation Administration of China prior to payment processing.
4.6 This Purchase Order becomes effective upon written signature and company seal (chop) by both the authorized representative of the buyer and the authorized representative of the supplier. No verbal modifications to this Purchase Order shall be binding.
4.7 The supplier warrants that all chemical reagents and pharmaceutical-grade materials supplied under this Purchase Order are free from contamination, meet the purity standards specified by the Chinese Pharmacopoeia (2025 edition), and are suitable for use by a practicing Chemist in China Shanghai.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding commercial agreement for the procurement of Chemist laboratory and pharmacy supplies in China Shanghai.
