- This Purchase Order is issued by Medellín Chemist Supply Co., S.A.S. and governs the procurement of pharmaceutical and Chemist-related supplies from the named supplier. All transactions are subject to the commercial regulations of the Republic of Colombia.
- The supplier, Quimifarma Distribuciones Ltda., confirms that all products listed herein are registered with INVIMA (Instituto Nacional de Vigilancia de Medicamentos y Alimentos) and comply with the current pharmaceutical regulations applicable in Colombia Medellín and the Antioquia department.
- Delivery shall be made to the buyer's central warehouse located at Calle 43 # 52-180, El Poblado, Medellín, Colombia. The supplier is responsible for all transportation, handling, and cold-chain integrity of temperature-sensitive Chemist products until delivery is confirmed by the buyer's receiving team.
- Payment shall be made within thirty (30) calendar days from the date of invoice issuance, via electronic bank transfer (EFT) to the supplier's account in Colombian Pesos (COP). Late payments shall accrue interest at the rate established by the Superintendencia Financiera de Colombia.
- All pharmaceutical products must be accompanied by their respective batch numbers, manufacturing dates, expiration dates, and INVIMA registration certificates. The Chemist receiving team reserves the right to reject any shipment that does not meet these documentation requirements.
- The supplier warrants that all goods are free from defects, properly labeled in Spanish as required by Colombian law, and suitable for resale or dispensing through licensed Chemist establishments in Medellín and the surrounding Antioquia region.
- In the event of a dispute arising from this Purchase Order, both parties agree to resolve the matter through mediation in the city of Medellín, Colombia, in accordance with the Colombian Commercial Code (Código de Comercio). If mediation fails, the competent commercial courts of Medellín shall have jurisdiction.
- This Purchase Order becomes effective upon written acceptance by both parties. Any modifications must be documented in a written addendum signed by authorized representatives of both the buyer and the Chemist supplier.
- The supplier shall maintain valid commercial insurance covering the full value of goods in transit and shall provide proof of such coverage upon request by the buyer's procurement department.
1. All temperature-sensitive items (Items 3 and 8) must be transported in validated cold-chain equipment maintaining 2°C to 8°C throughout transit within the Medellín metropolitan area.
2. The supplier must provide a Certificate of Analysis (CoA) for each pharmaceutical batch delivered to the Chemist warehouse.
3. Delivery windows: Monday through Friday, 8:00 AM to 4:00 PM, local time in Medellín (GMT-5).
4. This Purchase Order is valid for a period of sixty (60) days from the date of issue. Unfulfilled quantities after this period shall be subject to renegotiation.
