- Delivery Location: All goods under this Purchase Order shall be delivered to the Chemist premises located at 42 Quai de Serbie, 69002 Lyon, France. Delivery access is available between 08:00 and 17:00, Monday through Friday. The supplier must coordinate with the on-site Chemist manager prior to arrival.
- Delivery Window: The supplier, PharmaLyon Distribution S.A.S., is required to deliver all items listed in this Purchase Order no later than 28 June 2025. Partial deliveries are permitted provided all items are received within the stated window. Late delivery beyond 5 business days entitles the buyer to a 2% penalty per day on the outstanding value.
- Quality & Compliance: All pharmaceutical products must comply with the French Public Health Code (Code de la Santé Publique) and the regulations of the Agence Nationale de Sécurité du Médicament et des Produits de Santé (ANSM). All equipment must bear the CE marking and conform to applicable EU directives. The Chemist in France Lyon will conduct incoming quality inspection within 48 hours of receipt.
- Payment Terms: Payment shall be made via SEPA bank transfer within 30 calendar days of the date of the supplier's invoice, provided all goods have been received and accepted. The buyer's bank is Crédit Agricole du Rhône, Lyon. IBAN: FR76 1470 8000 0012 3456 7890 123. BIC: CAAF FRPP.

- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the France Lyon region. Affected parties must notify the other within 5 business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes shall be submitted to the competent commercial court of Lyon (Tribunal de Commerce de Lyon).
