- Payment Terms: Net 30 days from the date of invoice. Payment shall be made via SEPA bank transfer to the supplier's account in Germany Berlin. Late payments shall incur interest at the statutory rate under § 288 BGB (German Civil Code).
- Delivery Terms: All goods shall be delivered DAP (Delivered at Place) to the Chemist's premises at Unter den Linden 42, 10117 Berlin, Germany. Risk of loss transfers to the buyer upon delivery at the designated location in Germany Berlin.
- Quality Assurance: All pharmaceutical products supplied under this Purchase Order must comply with the German Medicines Act (Arzneimittelgesetz – AMG) and the European Pharmacopoeia. The Chemist reserves the right to reject any batch that fails quality inspection upon receipt.
- Cold Chain Compliance: Temperature-sensitive items (Item #03) must be transported in validated cold-chain packaging maintaining 2 °C to 8 °C throughout transit within Germany Berlin. Temperature data loggers must accompany each shipment.
- Regulatory Compliance: The supplier warrants that all products are registered with the Federal Institute for Drugs and Medical Devices (BfArM) and that all necessary import/export documentation for Germany Berlin is current and valid.
- Warranty & Returns: The Chemist may return unopened, undamaged products within 14 calendar days of delivery. Returns must be pre-approved in writing by the supplier's quality department.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government regulations affecting pharmaceutical supply in Germany Berlin, or pandemics.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
- Confidentiality: Both parties agree to maintain confidentiality regarding pricing, quantities, and commercial terms contained in this Purchase Order. This obligation survives termination for a period of two (2) years.
- Validity: This Purchase Order is valid for acceptance within five (5) business days of the date of issue. Failure to confirm acceptance within this period shall render this document null and void.
