4.1 This Purchase Order is issued by Apottheke Rhein-Main GmbH, a licensed Chemist operating in Frankfurt, Germany, and constitutes a binding request for the supply of pharmaceutical and medical products as itemised above.
4.2 The Chemist supplier, PharmaChem Frankfurt GmbH, shall ensure that all products comply with the German Medicines Act (Arzneimittelgesetz — AMG), the EU Good Distribution Practice (GDP) guidelines, and all applicable regulations enforced by the BfArM in Germany.
4.3 Delivery shall be made to the Chemist premises located in Frankfurt am Main, Germany, at the address specified in Section 2. The Chemist buyer shall inspect all goods upon receipt and report any discrepancies, damage, or expired stock within 48 hours of delivery.
4.4 Payment shall be made via SEPA bank transfer to the IBAN listed in Section 2 within thirty (30) calendar days of the invoice date. Late payments shall incur interest at the statutory rate under German commercial law (HGB § 288).
4.5 This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
4.6 The Chemist supplier warrants that all pharmaceutical products are within their expiry date (minimum 12 months remaining at time of delivery) and are stored and transported in accordance with GDP requirements for the Frankfurt region.
4.7 Cancellation or modification of this Purchase Order may only be made in writing by both parties. The Chemist buyer reserves the right to reject non-conforming goods without penalty.
