Required Delivery Date: 22nd June 2025 (within 7 working days from Purchase Order issuance).

Delivery Window: 09:00 AM to 05:00 PM IST, Monday to Saturday.

Mode of Transport: Refrigerated van for temperature-sensitive pharmaceutical items; standard enclosed vehicle for non-perishable Chemist supplies.

Special Instructions: All pharmaceutical products must be transported in compliance with the Drugs and Cosmetics Act, 1940, and the rules prescribed by the Maharashtra State Drug Controller. The supplier must ensure that the cold chain is maintained for any temperature-sensitive items. Upon delivery at the Chemist premises in India Mumbai, a joint inspection shall be conducted by the receiving pharmacist and the delivery representative.

GST Note: This Purchase Order is issued under the Goods and Services Tax (GST) regime applicable in India Mumbai. The supplier shall issue a valid GST tax invoice in accordance with Section 31 of the CGST Act, 2017. The Chemist buyer shall be entitled to Input Tax Credit (ITC) as per applicable provisions. All amounts are inclusive of applicable GST unless stated otherwise.

Payment shall be made within 30 days from the date of receipt of a valid GST tax invoice and successful quality verification of all items delivered to the Chemist warehouse in India Mumbai.
Mode of Payment: NEFT/RTGS to the supplier's designated bank account. Bank details to be confirmed on the tax invoice. No cash payments shall be accepted for this Purchase Order.
A 1.5% monthly interest shall be charged on delayed payments beyond the stipulated 30-day credit period, as per the terms agreed upon between the Chemist buyer and the supplier.
The supplier is required to provide a 5% advance discount for early payment within 10 days of invoice date.
All returns or replacements for damaged, expired, or substandard pharmaceutical items must be reported to the Chemist quality control team within 48 hours of delivery. The supplier shall bear all return shipping costs within India Mumbai.
This Purchase Order is subject to the Drugs and Cosmetics Act, 1940, the Drugs and Cosmetics Rules, 1945, and all applicable regulations of the Maharashtra State Drug and Cosmetic Department, India Mumbai.
The supplier warrants that all pharmaceutical products listed in this Purchase Order are manufactured by licensed facilities, are within their shelf life (minimum 18 months remaining at the time of delivery), and comply with the Bureau of Indian Standards (BIS) and World Health Organization (WHO) Good Manufacturing Practices (GMP).
In the event of a dispute arising from this Purchase Order, the matter shall be resolved through arbitration in Mumbai, Maharashtra, India Mumbai, in accordance with the Arbitration and Conciliation Act, 1996. The jurisdiction of the courts in India Mumbai shall be exclusively applicable.
This Purchase Order constitutes the entire agreement between the Chemist buyer and the supplier regarding the items listed herein and supersedes all prior negotiations, representations, or agreements.
Neither party shall be liable for delays or non-performance caused by force majeure events, including but not limited to natural disasters, government-imposed lockdowns, or supply chain disruptions affecting the India Mumbai region.

This Purchase Order is issued by Mumbai Wellness Chemist & Pharmacy Pvt. Ltd., a registered pharmaceutical retail and wholesale entity operating in India Mumbai, for the procurement of essential medicines, medical devices, and hygiene supplies required for the continued operation of its Chemist outlets across the Mumbai metropolitan area.
