4. The chemist buyer reserves the right to inspect all items upon receipt. Any item found to be expired, damaged, substandard, or not conforming to the specifications stated in this Purchase Order shall be rejected and replaced at no additional cost to the buyer within five (5) working days.
5. Payment shall be made via NEFT/RTGS to the supplier's designated bank account within thirty (30) days from the date of successful delivery and acceptance of goods. Late payments shall attract interest at the rate of 12% per annum as per the applicable provisions of the Indian Contract Act, 1872.
6. The supplier warrants that all products supplied under this Purchase Order are free from defects, are within their shelf life (minimum 18 months remaining at the time of delivery), and comply with all applicable regulations of the Central Drugs Standard Control Organisation (CDSCO), Government of India.
7. In the event of any dispute arising from this Purchase Order, the matter shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India. Both parties agree to attempt amicable resolution before initiating any legal proceedings.
8. This Purchase Order does not constitute a long-term supply agreement. Each subsequent order shall require a separate Purchase Order document issued by the chemist buyer.
9. The supplier shall maintain confidentiality regarding the pricing, quantities, and business terms contained in this Purchase Order and shall not disclose such information to any third party without prior written consent from the buyer.
