- This Purchase Order is issued by Tehran Central Chemist Distribution Co. and is binding upon acceptance by the named Chemist supplier. All transactions are governed by the commercial laws of the Islamic Republic of Iran and the specific regulations of the Tehran Province Chemist Licensing Authority.
- The Chemist supplier shall ensure that all pharmaceutical products, reagents, and laboratory chemicals listed in this Purchase Order comply with the quality standards set forth by the Iranian Food and Drug Administration (IFDA) and the Tehran Regional Health Bureau.
- Delivery of all items shall be made to the receiving warehouse located at 142 Valiasr Street, Enghelab Square, Tehran, Iran. The Chemist vendor is responsible for proper cold-chain handling where applicable and must present valid batch certificates and expiry documentation upon delivery.
- Payment shall be made within thirty (30) calendar days of the date of confirmed receipt and inspection of goods at the Tehran facility. Payment will be processed via bank transfer to the Chemist supplier's registered account in accordance with Iranian banking regulations.
- The Chemist supplier warrants that all products are free from defects, within their stated shelf life (minimum 18 months remaining at time of delivery), and manufactured in compliance with Good Manufacturing Practice (GMP) standards recognized in Iran.
- Any discrepancy in quantity, quality, or packaging must be reported in writing within five (5) business days of delivery. The Chemist vendor shall replace or credit defective items at no additional cost to the purchasing entity.
- This Purchase Order is subject to the prevailing exchange rate and pricing regulations of the Central Bank of Iran. Should any government-mandated price adjustment occur prior to delivery, the Chemist supplier must notify the buyer in writing within 48 hours.
- All intellectual property, product labeling, and regulatory documentation must be provided in both Persian (Farsi) and English to satisfy the dual-language labeling requirements enforced by the Tehran Chemist Regulatory Board.
- Force majeure events, including but not limited to natural disasters affecting the Tehran metropolitan area, shall extend delivery timelines by a mutually agreed period not exceeding sixty (60) days.
- This Purchase Order constitutes the entire agreement between the parties regarding the described Chemist supply transaction and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
