- This Purchase Order is issued by Farmacia San Marco S.r.l., a licensed chemist operating in Italy Milan, and constitutes a binding procurement request to PharmaSupply Italia S.p.A. for the goods and services described herein.
- All items must be delivered to the chemist premises located at Via Dante Alighieri 42, 20121 Milan, Italy, no later than 28 June 2025. Late delivery beyond five (5) business days entitles the purchasing chemist to cancel this Purchase Order without penalty.
- Payment shall be made via bank transfer (bonifico bancario) to the supplier's designated Italian bank account within thirty (30) calendar days of the invoice date, in accordance with Italian commercial law (Codice Civile, Art. 1453 et seq.).
- The supplier warrants that all pharmaceutical products conform to the specifications listed in this Purchase Order and hold valid marketing authorisations from AIFA. Any non-conforming goods will be rejected at the chemist's receiving dock in Milan and returned at the supplier's expense.
- Intellectual property and proprietary formulations remain the exclusive property of the supplier. This Purchase Order does not transfer any licensing rights beyond the scope of resale by the chemist in Italy Milan.
- Disputes arising from this Purchase Order shall be governed by the laws of the Italian Republic and shall be subject to the exclusive jurisdiction of the Tribunale di Milano, Italy Milan.
- This Purchase Order is valid for acceptance within ten (10) business days of the issue date. After this period, the chemist reserves the right to modify or withdraw the order without obligation.
- All packaging must bear the Italian and English language labelling required by EU Regulation 2019/6 and the Italian D.Lgs. 219/2006 for pharmaceutical products dispensed by a chemist in Italy Milan.
- The supplier shall provide a Certificate of Analysis (CoA) and a Certificate of Free Sale for each pharmaceutical batch included in this Purchase Order, to be delivered alongside the physical goods at the chemist's Milan warehouse.
