5. TERMS AND CONDITIONS

This Purchase Order is governed by the Italian Civil Code (Codice Civile) and applicable pharmaceutical regulations issued by the Agenzia Italiana del Farmaco (AIFA) and the Regione Campania health authority.
All pharmaceutical products supplied by the Chemist must comply with EU Directive 2001/83/EC and Italian Legislative Decree 219/2006 regarding the distribution of medicinal products.
The Chemist (Parafarmacia San Rocco) warrants that all items listed in this Purchase Order are genuine, within their expiry date (minimum 12 months remaining at delivery), and stored under appropriate temperature and humidity conditions as required by Italian pharmacy law.
Delivery shall be made to the designated warehouse in Naples, Italy. The Chemist is responsible for all transportation costs within the Naples metropolitan area up to the point of delivery (DAP Naples).
Payment shall be made via bank transfer (Bonifico Bancario) within 30 calendar days from the date of invoice issuance. IBAN: IT60 X054 2811 1010 0000 0123 456. BIC: BLOPIT22.
In the event of non-conforming goods, the Buyer reserves the right to reject the shipment and request a full replacement or refund within 10 business days of delivery. The Chemist shall bear all return shipping costs.
This Purchase Order is valid for acceptance within 14 calendar days from the date of issue. Failure to confirm by the Chemist within this period shall render this document null and void.
All disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Tribunale di Napoli, Italy, in accordance with Italian commercial law.
The Chemist shall maintain full traceability records for all pharmaceutical products as mandated by the Italian Ministry of Health (Ministero della Salute) and shall provide batch numbers and lot codes upon request.
This document constitutes a binding agreement between PharmaGest S.r.l. and Parafarmacia San Rocco – Chemist upon signature by both parties and confirmation of order acceptance.
