  1. This Purchase Order is issued by PharmaSahel Distribution Ltd. and constitutes a binding request for the Chemist supplier to deliver the specified pharmaceutical and laboratory products to the designated warehouse in Abidjan, Ivory Coast, within the stated delivery window.
  2. All products supplied under this Purchase Order must comply with the regulatory standards set forth by the Ivorian Agency for Medicines and Health Products (ANSM) and must bear valid batch numbers, manufacturing dates, and expiry dates clearly printed on each unit.
  3. The Chemist supplier warrants that all items listed herein are genuine, unexpired, and stored under appropriate temperature and humidity conditions in accordance with Good Distribution Practice (GDP) guidelines applicable in Ivory Coast.
  4. Delivery shall be made to the PharmaSahel Central Warehouse at Zone 4, Port Autonome d'Abidjan. The Chemist is responsible for all transportation, insurance, and handling costs within the Abidjan metropolitan area until goods are received and signed for by the Buyer's warehouse manager.
  5. Payment shall be made within thirty (30) calendar days of the date of the supplier's invoice, via bank transfer to the account specified above. Late payments shall incur a penalty of 1.5% per month as per Ivory Coast commercial code provisions.
  6. The Buyer reserves the right to inspect all goods upon arrival at the Abidjan warehouse. Any items found to be damaged, expired, or non-conforming to the specifications in this Purchase Order shall be rejected at no cost to the Buyer, and the Chemist supplier shall replace them within five (5) business days.
  7. This Purchase Order is subject to the laws of the Republic of Ivory Coast. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Abidjan, Ivory Coast.
  8. The Chemist supplier must provide a Certificate of Analysis (CoA) for each batch of chemical or pharmaceutical product delivered, along with a valid Certificate of Free Sale where applicable, to be submitted to the Buyer's quality assurance team in Abidjan prior to acceptance.
  9. Force majeure events, including but not limited to port closures at the Port of Abidjan, national strikes, or government-mandated supply restrictions in Ivory Coast, shall extend the delivery deadline proportionally, provided written notice is given within 48 hours of the event.
  10. This Purchase Order is valid for acceptance within seven (7) calendar days of the issue date. Failure to confirm acceptance by the Chemist supplier within this period shall render this Purchase Order null and void.
