The chemist supplier, Osaka Central Chemist Co., Ltd., shall deliver all goods specified in this Purchase Order to the receiving facility of the Kinki Pharmaceutical Research Institute at 3-12-8 Tennoji, Chuo-ku, Osaka, Japan. Delivery is scheduled no later than 28 June 2025. All shipments must be routed through the Osaka metropolitan logistics corridor and must comply with the Osaka City Fire Department regulations regarding the transport of hazardous chemical substances. The chemist is responsible for providing all necessary Material Safety Data Sheets (MSDS/SDS) in both Japanese and English for each chemical compound listed. All chemical and pharmaceutical products supplied under this Purchase Order must be manufactured, handled, and stored in strict accordance with Good Manufacturing Practice (GMP) standards as defined by the Ministry of Health, Labour and Welfare of Japan. The chemist supplier must provide a Certificate of Analysis (CoA) for every batch of chemical reagent and pharmaceutical API delivered. The chemist must maintain a valid Osaka Prefectural Pharmacy License and a Chemical Substance Registration under the Act on Securing the Quality of Chemical Substances. Any deviation from the stated purity or grade will result in immediate rejection of the affected lot at no additional cost to the purchasing entity.
This Purchase Order is governed by the laws of Japan, with jurisdiction vested in the Osaka District Court. The chemist supplier acknowledges that all intellectual property, proprietary formulations, and research data associated with the ordered materials remain the exclusive property of the Kinki Pharmaceutical Research Institute. Neither party shall be liable for delays caused by force majeure events, including but not limited to typhoons affecting the Osaka region, earthquakes, or government-mandated shutdowns. Disputes arising from this Purchase Order shall first be addressed through good-faith negotiation between the authorized representatives of both parties in Osaka, Japan, before any formal arbitration is initiated under the Japan Commercial Arbitration Association (JCAA).
