All goods under this Purchase Order shall be delivered to the buyer's primary warehouse located at 3-14-27 Shibuya, Shibuya-ku, Tokyo 150-0041, Japan. The Chemist is responsible for arranging all transportation, insurance, and handling of hazardous materials in strict accordance with the Japanese Fire Service Act and the Tokyo Metropolitan Government's hazardous materials transport regulations. Delivery must be completed no later than 28 June 2025, between the hours of 08:00 and 16:00 JST. The Chemist shall provide a minimum of 48 hours' advance written notice prior to delivery to allow the receiving team at our Tokyo facility to prepare appropriate storage and safety protocols.
The Chemist warrants that all products supplied under this Purchase Order shall meet or exceed the standards set forth in the Japanese Pharmacopoeia (JP) and the United States Pharmacopeia (USP) where applicable. Each shipment must be accompanied by a Certificate of Analysis (CoA), a complete set of Chemical Safety Data Sheets (SDS) in both Japanese and English, and a batch/lot traceability record. The Chemist confirms that all operations are conducted in compliance with the Chemical Substances Control Act (CSCL) of Japan and that all necessary permits for the manufacture, storage, and distribution of the listed chemicals are current and valid. Failure to provide compliant documentation will result in automatic rejection of the shipment at the Tokyo receiving dock, and the Chemist shall bear all costs associated with return or disposal.
Payment for this Purchase Order shall be made via bank transfer (seiyu) to the Chemist's designated account within 45 calendar days of the date of the valid invoice. The invoice must reference Purchase Order number PO-TKY-2025-04872 and must be issued in Japanese Yen (JPY). Late payments shall incur a penalty of 1.5% per month as stipulated under the Japanese Act on Special Provisions Concerning the Prompt Payment of Claims to Small and Medium-Sized Enterprises. The Chemist shall not assign or transfer any rights under this Purchase Order without the prior written consent of Tokyo Pharmaceutical Distribution Co., Ltd.
1. This Purchase Order is governed by and shall be construed in accordance with the laws of Japan, specifically the Civil Code of Japan and the Commercial Code of Japan.
2. Any disputes arising from this Purchase Order shall be resolved through arbitration in Tokyo, Japan, under the rules of the Japan Commercial Arbitration Association (JCAA).
3. The Chemist shall maintain adequate product liability insurance with a minimum coverage of 500,000,000 JPY for the duration of this Purchase Order and any subsequent orders.
4. The Chemist shall not subcontract any portion of the supply without the express written approval of the buyer.
5. This Purchase Order becomes effective upon signature by both parties and remains valid until all items have been delivered, inspected, and accepted by the buyer at the Tokyo facility.
6. In the event of force majeure, the Chemist must notify the buyer in writing within 24 hours and provide a revised delivery schedule for approval.
7. All intellectual property, formulations, and proprietary information exchanged under this Purchase Order shall remain the exclusive property of the disclosing party and shall not be disclosed to third parties without written consent.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. The Chemist confirms availability of all listed items and commits to fulfilling the order within the stipulated timeframe for delivery to the Tokyo, Japan facility.
