- Delivery Location: All goods under this Purchase Order shall be delivered to the chemist premises of MediCare Chemist Sdn. Bhd. located at Lot 12, Jalan Ampang, 50450 Kuala Lumpur, Malaysia. The seller shall bear all transportation costs within the Malaysia Kuala Lumpur metropolitan area.
- Delivery Schedule: The seller is required to deliver all items listed in this Purchase Order no later than 28 June 2025. Partial deliveries are not permitted unless prior written consent is obtained from the buyer's chemist operations manager in Malaysia Kuala Lumpur.
- Quality and Compliance: All pharmaceutical products and medical supplies must be registered with the National Pharmaceutical Regulatory Agency (NPRA) of Malaysia. The seller warrants that all items comply with the standards set by the Ministry of Health Malaysia and are suitable for sale at a licensed chemist in Malaysia Kuala Lumpur.
- Payment Terms: Payment shall be made within thirty (30) days from the date of the tax invoice issued by the seller. Payment shall be made via bank transfer to the seller's designated account in Malaysian Ringgit (MYR). Late payments shall attract interest at the rate of 5% per annum.
- Inspection and Acceptance: Upon delivery at the chemist premises in Malaysia Kuala Lumpur, the buyer shall have five (5) business days to inspect all goods. Any items found to be damaged, expired, or non-conforming to the specifications in this Purchase Order shall be rejected and replaced at the seller's sole cost.
- Warranty: All equipment items (thermometers, BP monitors) carry a minimum twelve (12) month manufacturer's warranty. Pharmaceutical products must have a minimum expiry date of eighteen (18) months from the date of delivery to the chemist in Malaysia Kuala Lumpur.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government regulations in Malaysia Kuala Lumpur, or supply chain disruptions.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Malaysia Kuala Lumpur.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both the chemist buyer and the seller.
