The supplier shall deliver all goods listed in this Purchase Order to the Chemist's designated warehouse at No. 47, 26th Street, Kyauktada Township, Yangon, Myanmar, no later than 29 June 2025. Delivery must be made between the hours of 08:00 and 16:00 Myanmar Standard Time (MST, UTC+6:30). The supplier is responsible for arranging cold-chain transport for all temperature-sensitive items, including the Insulin Glargine Pens (Line 6) and the Refrigerated Vaccine Storage Units (Line 12). Temperature loggers must be included in the shipment, and a copy of the temperature record must be presented to the Chemist's receiving officer upon delivery. The supplier bears all risk of loss or damage until the goods are signed for at the Chemist's premises in Yangon.

Payment for this Purchase Order shall be made by bank transfer to the supplier's designated account within thirty (30) calendar days of the date of the supplier's invoice, provided that all goods have been received, inspected, and accepted by the Chemist without discrepancy. The Chemist reserves the right to withhold payment for any line item that fails to meet the quality, quantity, or regulatory compliance standards specified herein. All amounts are quoted in Myanmar Kyat (MMK) and are inclusive of applicable taxes unless otherwise stated. Late payment beyond the stipulated period shall incur a penalty of 1.5% per month on the outstanding balance.

All pharmaceutical products procured under this Purchase Order must be registered with the Food and Drug Authority of Myanmar (FDAM) and must bear valid import permits. The Chemist, operating under Pharmacy License No. MY-PHARM-2020-03341 in Yangon, requires that each shipment be accompanied by a Certificate of Analysis (CoA), a Certificate of Free Sale (CFS) where applicable, and a detailed packing list. The supplier guarantees that no expired, substandard, or counterfeit products will be included in the delivery. The Chemist reserves the right to reject any non-conforming goods at the point of delivery in Yangon, and the supplier shall replace rejected items within five (5) business days at no additional cost.

This Purchase Order is governed by the laws of the Republic of the Union of Myanmar. Any disputes arising from this Purchase Order shall be resolved through negotiation between the Chemist and the supplier, and if unresolved, shall be submitted to the Yangon District Court for adjudication. The supplier shall maintain adequate product liability insurance covering all goods in transit and in storage within Myanmar. Neither party shall be liable for delays caused by force majeure events, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting operations in Yangon or elsewhere in Myanmar.
