TERMS AND CONDITIONS- Regulatory Compliance: All pharmaceutical products and chemist supplies listed in this Purchase Order must comply with the regulations of the National Agency for Food and Drug Administration and Control (NAFDAC), Nigeria. The supplier (Chemist) shall provide valid NAFDAC registration certificates, batch numbers, and certificates of analysis for every item delivered to our Nigeria Lagos facility.
- Delivery: The Chemist supplier shall deliver all goods to the purchaser's warehouse located at 142 Adeola Odeku Street, Victoria Island, Lagos, Nigeria, no later than 28 June 2025. Delivery shall be made between 08:00 and 16:00 West Africa Time (WAT). The supplier bears all risk of loss or damage until goods are received and inspected at the Nigeria Lagos premises.
- Quality Assurance: The Chemist warrants that all pharmaceutical products are free from defects, within their stated shelf life (minimum 18 months from date of manufacture), and stored and transported in accordance with Good Distribution Practice (GDP) standards as mandated for Nigeria Lagos pharmaceutical operations. Any product found to be expired, damaged, or non-compliant upon receipt shall be rejected at no cost to the purchaser.
- Payment: Payment of NGN 60,700,500.00 shall be made via bank transfer to the Chemist supplier's designated account within thirty (30) calendar days from the date of successful delivery and acceptance of goods. The purchaser's bank is Zenith Bank Plc, Victoria Island Branch, Lagos, Nigeria. No payment shall be due until a valid tax invoice and NAFAC compliance documentation are received.
- Warranty & Returns: The Chemist supplier grants a full warranty on all equipment items (cold chain storage units, digital thermometers, and display shelves) for a period of twelve (12) months from the date of delivery in Nigeria Lagos. Defective items shall be replaced or repaired at the supplier's sole expense within fourteen (14) days of notification.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to government-imposed lockdowns in Nigeria Lagos, port closures at Apapa/Tin Can Island, or acts of God. The affected party must notify the other in writing within forty-eight (48) hours.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order relating to chemist supply operations in Nigeria Lagos shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding pricing, product quantities, and business terms contained in this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
