- Regulatory Compliance: All pharmaceutical products listed in this Purchase Order must comply with the regulations established by DIGEMID (Dirección General de Medicamentos, Insumos y Drogas) under the Ministry of Health of Peru. The Chemist supplier, Farmacéutica Andina del Sur S.A.C., warrants that all items carry valid registration numbers and are approved for sale in the chemist and pharmacy sector within Peru Lima and the broader Peruvian market.
- Delivery Terms: The Chemist supplier shall deliver all goods to the designated warehouse located in the district of San Isidro, Peru Lima, no later than June 26, 2025. Delivery shall be made in accordance with DAP (Delivered at Place) Incoterms 2020. The supplier is responsible for all transportation, handling, and cold-chain maintenance of temperature-sensitive pharmaceutical items throughout the transit within Peru Lima.
- Payment Terms: Payment for this Purchase Order shall be made within thirty (30) calendar days from the date of confirmed receipt and inspection of goods at the Chemist warehouse in Peru Lima. Payment shall be processed via bank transfer to the supplier's account registered under RUC 20491827365. A valid Peruvian electronic invoice (Factura Electrónica) compliant with SUNAT regulations must accompany the delivery.
- Quality Assurance: Upon arrival at the Chemist facility in Peru Lima, a quality control team shall inspect all items for integrity, correct labeling, expiration dates (minimum 18 months remaining), and conformity with the specifications stated in this Purchase Order. Any discrepancies must be reported within five (5) business days of delivery.
- Cold Chain Requirements: Items requiring temperature-controlled storage (Items 003 and 009) must be transported in validated cold-chain equipment maintaining temperatures between 2°C and 8°C. The Chemist supplier must provide temperature logs for each shipment within Peru Lima.
- Warranty: All Chemist equipment (Items 005, 006, 009, and 010) carries a minimum twelve (12) month manufacturer's warranty from the date of installation at the Peru Lima facility. Pharmaceutical products are warranted to be free from defects and within their stated shelf life at the time of delivery.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Peru Lima region, government-mandated closures, or supply chain disruptions declared by Peruvian authorities.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the commercial laws of the Republic of Peru. Any disputes arising from this Chemist supply agreement shall be resolved through the competent commercial courts of Lima, Peru.
- Confidentiality: Both parties agree to maintain confidentiality regarding pricing, quantities, and business terms contained in this Purchase Order. This Chemist supply relationship between the parties in Peru Lima is considered proprietary information.
