- This Purchase Order is issued by Apteka Zdravie LLC, a licensed chemist and pharmaceutical retail establishment operating in Russia Moscow, in accordance with Federal Law No. 61-FZ "On Circulation of Medicines in the Russian Federation."
- All pharmaceutical products listed in this Purchase Order must comply with the registration requirements of the Federal Service for Surveillance in Healthcare (Roszdravnadzor) and must bear valid EAC conformity marking for distribution within Russia Moscow and the broader Russian Federation.
- The supplier, PharmaDistribut Moscow JSC, warrants that all goods are genuine, unexpired, and stored under appropriate temperature and humidity conditions consistent with Good Distribution Practice (GDP) standards applicable to chemist supply chains in Russia Moscow.
- Delivery shall be made DDP (Delivered Duty Paid) to the designated chemist warehouse address in Russia Moscow no later than the Required Delivery Date stated above. Late delivery beyond five (5) business days entitles the buyer to cancel this Purchase Order without penalty.
- Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the date of invoice, in Russian Rubles (RUB), in accordance with the payment terms specified in this Purchase Order.
- The supplier shall provide a complete delivery note, certificate of conformity, and batch/lot traceability documentation for each line item upon delivery to the chemist facility in Russia Moscow.
- Any discrepancy in quantity, quality, or condition of goods upon receipt must be reported in writing to the supplier within forty-eight (48) hours of delivery. The supplier shall replace defective or non-conforming items at no additional cost to the chemist buyer.
- This Purchase Order is governed by the civil law of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through the Arbitration Court of the City of Moscow, Russia Moscow.
- The supplier acknowledges that the buyer operates as a regulated chemist in Russia Moscow and that all prescription items (marked "Rx") shall be transferred only against valid prescription records maintained in the buyer's pharmacy information system.
- This Purchase Order becomes effective upon written or electronic acceptance by both parties and remains valid until the "Valid Until" date unless extended in writing by mutual agreement.
