All goods specified in this Purchase Order shall be delivered to the Chemist retail premises located at 12 Nevsky Prospekt, Saint Petersburg, 191025, Russia. The supplier is responsible for arranging all transportation, insurance, and customs clearance (if applicable) within the Saint Petersburg municipal boundary. Delivery is scheduled no later than 28 June 2025. Cold-chain items (Item No. 03) must be transported in validated temperature-controlled containers and delivered directly to the pharmaceutical refrigerator unit. The supplier shall provide a Certificate of Conformance and batch traceability documentation for all pharmaceutical products upon delivery. The Chemist receiving team in Saint Petersburg will inspect all items within 48 hours of delivery and issue a written acceptance or rejection notice.
5. Payment TermsPayment for this Purchase Order shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the date of confirmed receipt and acceptance of all goods. The total amount due is 1,324,410.00 Russian Rubles (RUB), inclusive of 20% Value Added Tax as mandated by the Federal Tax Service of the Russian Federation. The Chemist Saint Petersburg Pharmacy & Wellness Centre reserves the right to withhold payment for any items that fail quality inspection or arrive damaged, in which case a revised Purchase Order or credit note shall be issued within five business days.
6. Terms and Conditions- All pharmaceutical products must comply with the regulations of the Federal Service for Surveillance in Healthcare (Roszdravnadzor) and hold valid registration certificates for sale in the Russian Federation.
- The supplier warrants that all goods are new, unused, and within their stated shelf life (minimum 18 months remaining at the time of delivery to the Chemist premises).
- This Purchase Order is governed by the Civil Code of the Russian Federation and applicable commercial law in Russia Saint Petersburg. Any disputes shall be resolved through arbitration at the Arbitration Court of Saint Petersburg and Leningrad Oblast.
- The supplier shall maintain full product liability insurance coverage for the duration of this Purchase Order and for a minimum of two years following delivery.
- Neither party may assign its obligations under this Purchase Order without the prior written consent of the other party.
- Force majeure events, including but not limited to natural disasters, government sanctions, or public health emergencies affecting the Saint Petersburg region, shall excuse timely performance for the duration of the event, provided written notice is given within 72 hours.
- The Chemist Saint Petersburg Pharmacy & Wellness Centre retains the right to audit the supplier's manufacturing and storage facilities at reasonable notice to ensure ongoing compliance with Good Manufacturing Practice (GMP) standards.
This Purchase Order is hereby authorised and made binding upon the signatures of the undersigned representatives of both parties. By signing below, each party acknowledges that it has read, understood, and agrees to all terms, conditions, and obligations set forth in this document pertaining to the procurement of pharmaceutical and operational supplies for the Chemist business in Russia Saint Petersburg.
