1. PURPOSE AND SCOPE OF THIS PURCHASE ORDERThis Purchase Order is issued by the Pharmaceutical & Chemical Supply Division, headquartered in Senegal Dakar, to formally request the procurement of specialized chemical reagents, laboratory consumables, and analytical equipment from the licensed Chemist identified above. This document constitutes a binding commercial agreement between the purchasing entity and the Chemist supplier for the delivery of goods to our facility located in the industrial zone of Dakar, Senegal. All terms, conditions, and specifications outlined in this Purchase Order shall be strictly adhered to by both parties in accordance with the commercial and regulatory laws of the Republic of Senegal.

The Chemist supplier shall deliver all items listed in this Purchase Order to the following address in Senegal Dakar: Zone Industrielle de Ngor, Lot 47, Route de Ngor, Dakar, Senegal. Delivery must be completed no later than 28 June 2025. The Chemist is responsible for all packaging, labeling in accordance with Senegalese chemical transport regulations, and safe handling of hazardous materials during transit within the Dakar metropolitan area. All deliveries must be accompanied by a Certificate of Analysis signed by the Chemist and a Material Safety Data Sheet (MSDS) for each chemical product. The supplier must comply with the regulations of the Direction de la Pharmacie et du Médicament of Senegal regarding the transport and storage of chemical substances in Dakar.
4. PAYMENT TERMSPayment for this Purchase Order shall be made in West African CFA Francs (XOF) via bank transfer to the account of the Chemist supplier. The payment schedule is as follows: 40% advance payment upon acceptance of this Purchase Order, 50% upon confirmed delivery and inspection of goods at our Dakar, Senegal facility, and the remaining 10% within 30 days of final acceptance. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Senegalese commercial law. The Chemist must provide a valid tax invoice (facture) registered with the Direction Générale des Impôts of Senegal for each payment tranche.
5. QUALITY ASSURANCE AND CHEMIST CERTIFICATIONAll chemical products supplied under this Purchase Order must be certified by the licensed Chemist (License No. CHM-SEN-2019-0342) as meeting or exceeding the purity and concentration specifications stated herein. The Chemist shall provide batch-specific certificates of analysis, and all products must carry a minimum shelf life of 12 months from the date of delivery. Our quality control team in Dakar, Senegal reserves the right to reject any shipment that does not conform to the specifications outlined in this Purchase Order. The Chemist shall be liable for any replacement costs, shipping fees, and consequential damages arising from non-conforming products delivered to our Senegal Dakar premises.
6. TERMS AND CONDITIONS- This Purchase Order is governed by the commercial laws of the Republic of Senegal and the OHADA (Organisation pour l'Harmonisation en Afrique du Droit des Affaires) uniform acts applicable in Dakar.
- The Chemist supplier warrants that all products are free from defects, contamination, and adulteration, and are manufactured in compliance with Senegalese pharmaceutical and chemical regulations.
- Any disputes arising from this Purchase Order shall be resolved through the Commercial Court of Dakar, Senegal.
- The Chemist shall maintain adequate professional liability insurance coverage for the duration of this contract.
- Neither party may assign this Purchase Order to a third party without prior written consent of the other party.
- All intellectual property and proprietary formulations remain the property of the Chemist supplier unless otherwise stated.
- This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations have been fulfilled.
