- Payment Terms: Net 30 days from the date of this Purchase Order. Payment shall be made via bank transfer to the Chemist supplier's designated account at Woori Bank, Seoul Central Branch, South Korea.
- Delivery Location: All goods shall be delivered to the Seoul Advanced Research Institute facility located in Gangnam-gu, Seoul, South Korea. The Chemist supplier is responsible for all logistics within the Seoul metropolitan area.
- Quality Assurance: Every batch of chemical products must be accompanied by a Certificate of Analysis (CoA) signed and verified by a licensed Chemist from Hanul Chemist & Pharmaceutical Solutions Co., Ltd. The Chemist must confirm compliance with Korean Ministry of Environment (MOE) and Korea Food and Drug Administration (MFDS) regulations.
- Chemist Compliance: The supplier Chemist warrants that all products meet or exceed the purity and grade specifications stated in this Purchase Order. Any deviation exceeding 0.5% from the stated Chemist grade shall result in immediate rejection and full refund.
- Regulatory Compliance (South Korea Seoul): All chemical substances must comply with the Chemical Substances Control Act of South Korea and local Seoul municipal environmental regulations. The Chemist supplier must provide Material Safety Data Sheets (MSDS) in both Korean and English for every item listed.
- Intellectual Property: The custom-synthesized organic compound (Item 06) shall remain the exclusive intellectual property of the purchasing entity. The Chemist supplier agrees not to disclose, replicate, or sell the compound to any third party without written consent.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Seoul, South Korea, in accordance with the rules of the Korea Commercial Arbitration Board (KCAB).
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government mandates in South Korea, or other events beyond reasonable control.
