NOTE: All pharmaceutical and chemist products listed in this Purchase Order must comply with the regulations set forth by the Sudanese National Food and Drug Authority (NFDA) and the Ministry of Health, Republic of Sudan. The supplier Chemist must provide valid batch numbers, manufacturing dates, and expiry dates for all items. Products with less than 18 months remaining shelf life will be rejected upon delivery at the Khartoum warehouse. TERMS AND CONDITIONS
  1. Payment Terms: Payment shall be made within thirty (30) calendar days from the date of confirmed delivery and acceptance of goods at the Al-Nil Pharmacy warehouse in Khartoum, Sudan. Payment will be processed via bank transfer to the supplier Chemist's designated account with the Bank of Khartoum, Sudan.
  2. Delivery Terms: The supplier Chemist shall deliver all items to the specified address in Khartoum, Sudan, at the supplier's own cost and risk until the goods are physically received and inspected by the buyer's designated representative. Delivery must occur between 08:00 and 14:00 Sudan Standard Time on the agreed delivery date.
  3. Quality Assurance: All chemist and pharmaceutical products must be in their original, unopened manufacturer packaging. The supplier must provide a Certificate of Analysis (CoA) and a Certificate of Free Sale for each batch. Any product found to be damaged, expired, or non-compliant with Sudanese regulatory standards will be returned at the supplier Chemist's expense.
  4. Regulatory Compliance: This Purchase Order is subject to all applicable laws and regulations of the Republic of Sudan, including but not limited to the Sudanese Pharmaceutical Act, the National Food and Drug Authority guidelines, and the Khartoum State Commercial Regulations. The supplier Chemist warrants that all products are legally importable and distributable within Sudan.
  5. Warranty: The supplier Chemist warrants that all goods supplied under this Purchase Order are free from defects in material and workmanship and are fit for their intended pharmaceutical and medical use in the Sudanese healthcare market.
  6. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government sanctions affecting Sudan, or disruption of supply routes within Khartoum and surrounding areas.
  7. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the Commercial Court of Khartoum, Sudan, and governed by the laws of the Republic of Sudan.
  8. Validity: This Purchase Order is valid for a period of fourteen (14) calendar days from the date of issue. The supplier Chemist must confirm acceptance in writing within this period.
