All prices are quoted in Thai Baht (THB). VAT is calculated in accordance with the Revenue Code of Thailand B.E. 2564. The Chemist supplier is required to issue a VAT invoice (Tax Invoice) upon delivery.

TERMS AND CONDITIONS

Chemist Certification: All chemical products supplied under this Purchase Order must be certified by a licensed Chemist registered with the Thai Food and Drug Administration (FDA). Each batch must carry a Certificate of Analysis (CoA) signed by the responsible Chemist at the supplier facility in Bangkok.
Regulatory Compliance (Thailand): The Chemist supplier shall ensure full compliance with the Thai Ministry of Public Health regulations, the Hazardous Substances Act B.E. 2535, and all applicable Bangkok Metropolitan Administration (BMA) environmental and safety guidelines for the transport and storage of chemical substances.
Delivery in Bangkok: All goods shall be delivered to the buyer's facility located in Khlong Toei District, Bangkok, Thailand. The Chemist supplier is responsible for arranging safe transport within the Bangkok metropolitan area using vehicles equipped with appropriate chemical handling and spill-containment equipment as mandated by Thai law.
Quality Assurance: The Chemist supplier guarantees that all reagents and pharmaceutical-grade materials meet or exceed the specifications stated in the Thai Pharmacopoeia (ThaiPh) and International Pharmacopoeia (Ph.Int.). Any batch failing quality inspection upon receipt at the Bangkok receiving dock shall be rejected at no cost to the buyer.
Payment: Payment of the full Purchase Order amount shall be made via bank transfer to the Chemist supplier's registered account within thirty (30) calendar days from the date of confirmed delivery and receipt of a valid Thai VAT Tax Invoice. Late payments shall incur interest at the rate prescribed by the Thai Civil and Commercial Code.
Storage and Shelf Life: The Chemist supplier shall ensure that all products have a minimum remaining shelf life of eighteen (18) months at the time of delivery. Temperature-sensitive items must be transported in climate-controlled vehicles suitable for the Bangkok climate (ambient 30–38°C, humidity 70–90%).
Intellectual Property and Confidentiality: All proprietary formulations prepared by the Chemist supplier under this Purchase Order remain the intellectual property of the supplier. The buyer shall not reverse-engineer or disclose proprietary Chemist formulations to third parties without written consent.
Dispute Resolution: Any disputes arising from this Purchase Order shall be governed by the laws of the Kingdom of Thailand. Matters shall first be subject to mediation in Bangkok. If unresolved, disputes shall be referred to the Bangkok Court of Justice or, at the buyer's election, to arbitration under the rules of the Thai Arbitration Institute.
Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Bangkok, or national emergencies declared by the Thai government.
Validity: This Purchase Order is valid for acceptance within seven (7) calendar days from the date of issue. The Chemist supplier must confirm acceptance in writing (email or signed copy) within this period.
