- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice issuance via bank transfer to the supplier's designated account in Turkey. Late payments shall incur a penalty of 1.5% per month as per Turkish commercial law (Türk Ticaret Kanunu).
- Delivery Terms: All goods listed in this Purchase Order shall be delivered to the receiving address in Turkey Ankara (Çankaya district) within fifteen (15) business days from the date of this Purchase Order confirmation. Delivery shall be made in accordance with Incoterms 2020 – DAP (Delivered at Place).
- Quality Assurance: All chemist products must comply with the regulations set forth by the Turkish Medicines and Medical Devices Agency (TİTCK – Türkiye İlaç ve Tıbbi Cihaz Kurumu). Each batch must be accompanied by a Certificate of Analysis (CoA) and a valid batch/lot number. The supplier warrants that all chemist-grade pharmaceuticals are manufactured under Good Manufacturing Practice (GMP) standards.
- Storage and Handling: The supplier is responsible for ensuring that all temperature-sensitive chemist products are transported in validated cold-chain packaging. Upon arrival in Turkey Ankara, the buyer's receiving team will inspect all items within forty-eight (48) hours. Any discrepancies must be reported in writing to the supplier within this period.
- Warranty: All equipment items (e.g., digital thermometers) carry a minimum twelve (12) month manufacturer warranty. Pharmaceutical products must have a minimum remaining shelf life of eighteen (18) months at the time of delivery to the chemist distribution center in Ankara.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or supply chain disruptions affecting the Turkey Ankara region.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Ankara, Turkey.
- Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and product specifications contained within this Purchase Order and any related chemist supply agreements.
Delivery shall be made to the Ankara Chemist Supply Co. Ltd. warehouse located in the Çankaya district of Turkey Ankara. The delivery vehicle must be equipped with temperature monitoring devices for pharmaceutical cargo. The supplier must provide a Bill of Lading (B/L) and a customs declaration form (Gümrük Beyannamesi) if applicable. All deliveries within the Turkey Ankara metropolitan area are subject to municipal traffic regulations; the supplier is advised to schedule deliveries between 08:00 and 16:00 on weekdays to avoid restricted hours.
