Important Note for Chemist Compliance in Turkey Istanbul: All pharmaceutical and chemist products listed in this Purchase Order must comply with the regulations set forth by the Turkish Ministry of Health (Sağlık Bakanlığı) and the Istanbul Provincial Directorate of Health. The supplier chemist must provide valid batch release certificates, Good Manufacturing Practice (GMP) documentation, and current Turkish Pharmacopoeia (Türk Farmakopesi) conformity statements for every line item. Temperature-sensitive chemist goods (Items 1, 2, 3, 4, and 7) must be transported in validated cold-chain vehicles maintained between 2 °C and 8 °C throughout the Istanbul delivery route. Terms and Conditions of this Purchase Order- This Purchase Order constitutes a binding agreement between the Buyer (Meridyen Kimya ve Eczane Tedarik A.Ş.) and the Supplier Chemist (Sağlık Kimya Eczane Ürünleri Ltd. Şti.) for the supply of chemist and pharmaceutical products as itemized above.
- All chemist products must be delivered to the designated Istanbul warehouse address no later than 28 June 2025. Late delivery beyond five (5) business days entitles the Buyer to cancel this Purchase Order without penalty and seek alternative chemist supply.
- Payment shall be made in Turkish Lira (TRY) within thirty (30) calendar days of the date of the supplier chemist's invoice, via bank transfer to the IBAN specified above. No cash payments are accepted under this Purchase Order.
- The supplier chemist warrants that all products are new, unexpired (minimum 18 months shelf life at delivery), and manufactured in full compliance with EU GMP standards and Turkish pharmaceutical regulations applicable in Istanbul and throughout Turkey.
- Upon delivery at the Istanbul receiving point, the Buyer's designated chemist officer (Pharmacist Mehmet Demir) shall inspect all line items for quantity, packaging integrity, batch numbers, and expiry dates. Any discrepancies must be reported in writing within forty-eight (48) hours of receipt.
- The supplier chemist assumes full liability for any product recall, adverse event, or regulatory non-compliance arising from the supplied chemist goods. The supplier shall maintain product liability insurance with a minimum coverage of TRY 5,000,000 valid throughout Turkey.
- This Purchase Order is governed by the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be resolved by the competent commercial courts in Istanbul, Turkey. The Istanbul Chamber of Commerce (İstanbul Ticaret Odası) may be engaged for mediation prior to litigation.
- The supplier chemist shall not subcontract any portion of the delivery or manufacturing obligations under this Purchase Order without prior written consent from the Buyer.
- All chemist products must be accompanied by a detailed delivery note (Sevkiyat Faturası) listing batch numbers, manufacturing dates, expiry dates, and storage conditions. The delivery note must be in Turkish and English.
- This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. Verbal modifications are not valid.
