Terms and Conditions of this Purchase Order- Acceptance: This Purchase Order is issued by Al Noor Pharmacy & Chemist Supplies LLC, a licensed Chemist operating in United Arab Emirates Dubai, and constitutes a binding procurement request. The supplier, Gulf Pharma Distribution FZE, must confirm acceptance in writing within five (5) business days of the date of issue.
- Regulatory Compliance: All pharmaceutical products listed in this Purchase Order must be registered with the Ministry of Health and Prevention (MOHAP) of the United Arab Emirates and comply with the Dubai Health Authority (DHA) regulations governing the import, storage, and distribution of medicines within United Arab Emirates Dubai. The Chemist vendor shall provide valid MOHAP registration certificates and batch-specific CoA (Certificate of Analysis) for every shipment.
- Delivery: Goods shall be delivered DDP (Delivered Duty Paid) to the Chemist premises at Dubai Healthcare City, United Arab Emirates Dubai, no later than 28 June 2025. The supplier bears all transportation, customs clearance, and duty costs within the United Arab Emirates Dubai jurisdiction.
- Quality Assurance: The Chemist buyer reserves the right to inspect all goods upon receipt. Any product found to be expired, damaged, improperly stored, or not conforming to the specifications stated in this Purchase Order shall be rejected at the supplier's cost. Cold chain products must be delivered with continuous temperature loggers showing compliance with the 2–8°C requirement throughout transit in United Arab Emirates Dubai.
- Payment: Payment of AED 82,320.00 (inclusive of 5% VAT) shall be made via bank transfer within thirty (30) calendar days from the date of confirmed delivery and acceptance of goods. The Chemist buyer shall issue a VAT-compliant tax invoice in accordance with the Federal Tax Authority (FTA) regulations of the United Arab Emirates.
- Warranty: All equipment items (Cold Chain Storage Units and Label Printers) carry a minimum twelve (12) month manufacturer's warranty. The supplier shall coordinate warranty service within United Arab Emirates Dubai and ensure response times do not exceed seventy-two (72) hours.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated closures, port restrictions in United Arab Emirates Dubai, or supply chain disruptions. Affected parties must notify the other within forty-eight (48) hours.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, with jurisdiction vested in the courts of Dubai, United Arab Emirates Dubai. Any disputes shall first be subject to mediation before the Dubai International Financial Centre (DIFC) Arbitration Centre.
- Confidentiality: Both parties agree to maintain the confidentiality of pricing, product lists, and commercial terms contained in this Purchase Order. This obligation survives termination for a period of two (2) years.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both the Chemist buyer and the supplier.
