- This Purchase Order is issued by Black Country Chemist Group Ltd, a registered chemist and pharmacy operator in Birmingham, United Kingdom, and constitutes a binding procurement request for the chemist supply items listed herein.
- All goods supplied under this Purchase Order must comply with the Medicines and Healthcare products Regulatory Agency (MHRA) standards and the General Pharmaceutical Council (GPhC) guidelines applicable to chemist operations in the United Kingdom.
- Delivery of all chemist stock and equipment shall be made to the nominated Birmingham warehouse address within the United Kingdom. The supplier bears all risk of loss or damage until goods are received and signed for at the Birmingham delivery point.
- Payment shall be made via BACS transfer to the supplier's designated United Kingdom bank account within thirty (30) calendar days of receipt of a valid VAT invoice. Late payment interest shall accrue at the rate prescribed under the Late Payment of Commercial Debts (Interest) Act 1998.
- The supplier warrants that all pharmaceutical products, chemist accessories, and equipment listed in this Purchase Order are genuine, unexpired, and manufactured in accordance with Good Manufacturing Practice (GMP) standards as required for chemist distribution in the United Kingdom.
- Any variation to this Purchase Order, including changes to chemist item quantities, delivery schedules, or pricing, must be agreed in writing by both parties. No verbal amendments to this Birmingham-based chemist supply order shall be valid.
- The supplier shall provide a Certificate of Analysis and batch traceability documentation for all prescription-only medicines and controlled substances included in this chemist Purchase Order, in line with United Kingdom drug legislation.
- In the event of non-conforming goods, Black Country Chemist Group Ltd reserves the right to reject the affected chemist items and require replacement or full refund within fourteen (14) working days of notification.
- This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from this chemist supply agreement in Birmingham shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- All personal data processed under this Purchase Order shall be handled in compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
