- Payment Terms: Net 30 days from date of invoice. Payment shall be made via ACH transfer to the Chemist vendor account on file. Late payments shall accrue interest at 1.5% per month.
- Delivery: All physical goods must be delivered to the Houston, United States receiving dock no later than June 27, 2025. The Chemist shall ensure all hazardous materials are packaged in compliance with U.S. DOT regulations and Texas state environmental codes.
- Quality Assurance: Every batch of reagent or compound supplied by the Chemist must be accompanied by a Certificate of Analysis (CoA) signed by the responsible Chemist. Gulf Coast Chemical & Analytical Laboratories reserves the right to reject any shipment that fails internal QC verification.
- Regulatory Compliance: The Chemist warrants that all products and services provided under this Purchase Order comply with all applicable federal, state (Texas), and local (City of Houston) regulations, including but not limited to OSHA, EPA, and TCEQ guidelines.
- Warranty: All Chemist-prepared materials carry a 90-day warranty from the date of delivery. Any product found to be below the stated purity or specification within this period shall be replaced at no additional cost.
- Intellectual Property: All proprietary formulations, synthesis protocols, and analytical methods developed by the Chemist under this Purchase Order remain the intellectual property of the Chemist unless otherwise agreed in a separate written agreement.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes shall be resolved in the courts of Harris County, Houston, Texas.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Houston, Texas metropolitan area, supply chain disruptions, or government-mandated shutdowns.
