3.1 Payment Terms: Payment shall be made within thirty (30) calendar days from the date of confirmed delivery and acceptance of goods at the receiving warehouse in Caracas, Venezuela. Payment shall be processed in United States Dollars (USD) via wire transfer to the supplier's designated bank account in Venezuela, in compliance with the exchange rate regulations of the Banco Central de Venezuela (BCV) in effect at the time of transaction.
3.2 Delivery: The supplier (Chemist) shall deliver all items listed in this Purchase Order to the specified warehouse in the Zona Industrial de Petare, Caracas, Venezuela, no later than the delivery date stated above. All goods must be transported under controlled temperature conditions (2°C to 8°C for refrigerated items; 15°C to 25°C for ambient items) as required by Venezuelan pharmaceutical storage regulations.
3.3 Quality Assurance: All pharmaceutical products and chemist-grade materials must be accompanied by Certificates of Analysis (CoA), batch numbers, and expiration dates. The purchasing chemist entity reserves the right to reject any shipment that does not meet the quality specifications outlined in this Purchase Order or that fails to comply with ANAMED standards.
3.4 Regulatory Compliance: The supplier warrants that all products listed herein hold valid registration with ANAMED and that all import/export documentation required for pharmaceutical goods in Venezuela Caracas has been or will be obtained prior to delivery. The chemist supplier shall bear full responsibility for any regulatory non-compliance.
3.5 Cancellation and Modification: This Purchase Order may be modified or cancelled only by mutual written agreement of both parties. Cancellation requests received more than fourteen (14) days prior to the scheduled delivery date shall be processed without penalty. Cancellations within fourteen (14) days of the delivery date shall incur a 10% administrative fee.
3.6 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Caracas, Venezuela, in accordance with the Commercial Arbitration Law of the Republic of Venezuela. The governing law for this Purchase Order shall be the commercial legislation of Venezuela.
