This Purchase Order is issued to formally engage the services of a qualified Civil Engineer and associated engineering consultancy team to provide comprehensive structural design, site supervision, and quality assurance services for the reconstruction of the Kabul River Bridge Approach Roads and associated drainage infrastructure in Afghanistan Kabul. The Civil Engineer shall be responsible for all phases of the project including preliminary surveys, detailed structural design, preparation of construction drawings, material specifications, on-site supervision, and final acceptance testing in accordance with the Afghan National Building Code and applicable international engineering standards.

Payment under this Purchase Order shall be made in the following installments, subject to satisfactory completion and written approval by the Buyer's project verification team:

All payments shall be made via bank transfer to the Supplier's designated account in Afghanistan Kabul within thirty (30) calendar days of receipt of a valid invoice and supporting documentation.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Emirate of Afghanistan, with the project site located in Afghanistan Kabul. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kabul in accordance with the Afghan Arbitration Law.
- Qualifications of the Civil Engineer: The Lead Civil Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Civil Engineering from an accredited institution, possess a valid professional engineering license issued by the Afghan Engineering Council, and demonstrate a minimum of fifteen (15) years of progressive experience in structural design and construction supervision of bridge and road infrastructure projects in Afghanistan Kabul or comparable seismic zones.
- Performance Bond: The Supplier shall furnish a performance bond in the amount of ten percent (10%) of the total contract value, issued by a licensed financial institution operating in Afghanistan Kabul, prior to the release of the advance payment.
- Insurance: The Supplier shall maintain comprehensive professional liability insurance, workers' compensation coverage, and third-party liability insurance for the entire duration of the engagement. All insurance policies shall name the Buyer as an additional insured party.
- Compliance with Local Regulations: All engineering services rendered under this Purchase Order shall comply with the Afghan National Building Code, the Kabul Municipality Zoning and Development Regulations, and all applicable environmental and safety standards enforced in Afghanistan Kabul.
- Intellectual Property: All design documents, drawings, reports, and specifications produced by the Civil Engineer and the consultancy team under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Supplier shall not reproduce, distribute, or use such documents for any other project without prior written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the other party. In the event of termination for convenience by the Buyer, the Supplier shall be compensated for all work satisfactorily completed up to the date of termination, less any retainage.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-imposed restrictions affecting operations in Afghanistan Kabul.
- Confidentiality: All information exchanged under this Purchase Order, including project specifications, site data, and financial terms, shall be treated as strictly confidential by both parties and shall not be disclosed to third parties without mutual written agreement.
- Validity: This Purchase Order shall remain valid for a period of eighteen (18) months from the date of issue, or until the completion of all services described herein, whichever occurs first. Any extension of the project timeline must be documented through a formal amendment to this Purchase Order signed by both parties.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of Civil Engineer services in Afghanistan Kabul. This document constitutes a binding agreement between the Buyer and the Supplier effective from the date of the last signature below.
