1. Scope and Compliance: The Civil Engineer engaged under this Purchase Order shall perform all duties in strict accordance with Algerian national regulations, the Algerian Civil Code, and the professional standards set by the Algerian Order of Engineers (Ordre National des Ingénieurs). All structural designs must comply with the RPA 99/2003 seismic code applicable to the Algiers region, which is classified as a high-seismicity zone.
2. Payment Terms: Payment shall be made in four (4) installments: 25% upon signing of this Purchase Order, 35% upon completion of the structural design phase, 30% upon completion of on-site supervision, and 10% upon delivery of the final as-built documentation. All payments shall be processed via bank transfer to the vendor's account at BNA (Banque Nationale d'Algérie), Algiers branch, within fifteen (15) business days of invoice approval.
3. Delivery and Performance Location: All services under this Purchase Order shall be rendered at the project site located in Bab El Oued, Algiers, Algeria, and at the vendor's office in El Hamma, Algiers. The Civil Engineer shall maintain a minimum on-site presence of five (5) days per week during the construction phase.
4. Penalties and Delays: In the event of unjustified delay in delivering any milestone specified in this Purchase Order, the Civil Engineer shall be subject to a penalty of 0.1% of the total contract value per calendar day of delay, capped at 10% of the total Purchase Order value.
5. Insurance and Liability: The Civil Engineer shall maintain professional liability insurance with a minimum coverage of 50,000,000 DZD, valid throughout the duration of this Purchase Order. All insurance certificates shall be submitted to AIDC prior to the commencement of services in Algiers, Algeria.
6. Intellectual Property: All drawings, calculations, reports, and documentation produced by the Civil Engineer under this Purchase Order shall become the exclusive property of AIDC upon full payment. The Civil Engineer shall not reuse, reproduce, or disclose any project-specific information without prior written consent.
7. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial court of Algiers, Algeria, in accordance with Algerian law.
8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government decrees, or civil unrest in Algiers, Algeria, provided that the affected party notifies the other within seven (7) days.
