1. Scope of Work: The Civil Engineer and the engineering firm identified as the Seller shall provide all professional civil engineering services as described in the line items above. All work shall be performed in accordance with the professional standards established by the Colegio de Ingenieros de la Provincia de Córdoba and the Argentine national technical regulations. The Civil Engineer shall hold a valid professional license (Matrícula) issued by the competent authority in Córdoba, Argentina.
2. Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of the structural design and geotechnical report (Items 01 and 02), and 30% upon delivery of the final as-built documentation and engineering certification (Item 06). All payments shall be made via bank transfer to the Seller's account in Argentine Pesos (ARS) at a bank operating in Córdoba, Argentina. Payment is due within fifteen (15) calendar days of invoice presentation.
3. Delivery and Timeline: The Civil Engineer shall deliver the structural design package within forty-five (45) calendar days from the date of this Purchase Order. The geotechnical report shall be delivered within thirty (30) calendar days. On-site supervision shall commence upon written notice from the Buyer and shall continue for the duration of the construction phase. All deliverables must be submitted to the Buyer's project office located in Alta Córdoba, Córdoba, Argentina.
4. Professional Liability and Insurance: The Civil Engineer shall maintain professional liability insurance with a minimum coverage of ARS 50,000,000.00, valid throughout the Province of Córdoba, Argentina. A copy of the insurance certificate shall be provided prior to the commencement of any on-site supervision activities.
5. Intellectual Property: All engineering drawings, calculations, reports, and documentation produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Civil Engineer retains the right to reference the project in professional portfolios with prior written consent from the Buyer.
6. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, specifically the Province of Córdoba. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts of the city of Córdoba, Argentina. The parties agree to attempt mediation before initiating any judicial proceedings.
7. Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of cancellation by the Buyer, the Civil Engineer shall be compensated for all services rendered and materials procured up to the date of termination, plus a cancellation fee of 10% of the remaining contract value.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting the Córdoba region, government-mandated work stoppages, or extraordinary public health emergencies declared in Argentina.
ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Civil Engineer professional services in Córdoba, Argentina. This document constitutes a binding commercial agreement between the parties.
