This Purchase Order is issued by the Queensland Infrastructure Development Authority (hereinafter referred to as the “Buyer”) to Brisbane Civil Engineering Solutions Pty Ltd (hereinafter referred to as the “Civil Engineer” or “Contractor”) for the provision of comprehensive civil engineering design, consultation, and site supervision services in Brisbane, Queensland, Australia. 3.1 This Purchase Order is governed by the laws of the State of Queensland, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be resolved in the courts of Brisbane, Queensland, or by arbitration under the rules of the Queensland Dispute Resolution Commission.
3.2 The Civil Engineer warrants that all professional services rendered under this Purchase Order shall be performed by a registered Civil Engineer holding a current Queensland Building and Construction Commission (QBCC) contractor licence and membership with Engineers Australia. The lead Civil Engineer responsible for this Brisbane project shall hold a minimum of ten (10) years of post-qualification experience in civil engineering practice within Australia.
3.3 All deliverables, reports, drawings, and documentation produced by the Civil Engineer under this Purchase Order shall be prepared in English and shall comply with the relevant Australian Standards, the National Construction Code (NCC 2022), and Brisbane City Council development approval conditions.
3.4 The Civil Engineer shall maintain a minimum of $10,000,000 in professional indemnity insurance and $20,000,000 in public liability insurance, with the Queensland Infrastructure Development Authority named as an additional insured party. Certificates of insurance shall be provided to the Buyer prior to the commencement date of 1 July 2025.
3.5 Payment shall be made in Australian Dollars (AUD) via electronic funds transfer (EFT) to the bank account nominated by the Civil Engineer. Invoices shall be submitted monthly in arrears and must reference this Purchase Order number (PO-QIDA-2025-04871). The Buyer shall process payment within thirty (30) calendar days of receipt of a valid tax invoice compliant with the Australian Taxation Office (ATO) requirements.
3.6 The Civil Engineer shall comply with all occupational health and safety obligations under the Work Health and Safety Act 2011 (Qld) and the Work Health and Safety Regulation 2011 (Qld) while conducting any on-site activities in Brisbane. A site-specific safety management plan shall be submitted to the Buyer no later than fourteen (14) days prior to the commencement date.
3.7 Time is of the essence under this Purchase Order. Failure by the Civil Engineer to meet the project completion deadline of 28 February 2026 without written approval from the Buyer shall entitle the Buyer to claim liquidated damages at a rate of AUD 5,000 per calendar day of delay, up to a maximum of AUD 150,000.
3.8 All intellectual property rights in the civil engineering designs, calculations, and documentation created specifically for this Brisbane project under this Purchase Order shall vest in the Queensland Infrastructure Development Authority upon full payment. The Civil Engineer retains the right to use general methodologies and standard details in future projects, provided no confidential project-specific data is disclosed.
3.9 This Purchase Order may be varied only by written agreement signed by authorised representatives of both parties. No oral variation shall be binding. All variations affecting the scope of civil engineering services, the project timeline, or the total Purchase Order value must be documented in a formal Variation Order referencing this Purchase Order.
