Description of Services Procured
This Purchase Order is issued by Megna Infrastructure & Construction Limited (hereinafter referred to as "the Buyer") to Arman Structural Engineering Consultants Ltd. (hereinafter referred to as "the Supplier") for the professional services of a licensed Civil Engineer in connection with the design, supervision, and quality assurance of a 12-storey residential and commercial building project located in Gulshan, Bangladesh Dhaka. The Civil Engineer shall be responsible for all structural design calculations, preparation of construction drawings, site supervision, material testing coordination, and compliance verification in accordance with the Bangladesh National Building Code (BNBC) 2020 and the regulations of the Dhaka North City Corporation (DNCC).

Terms and Conditions
- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature. All terms are governed by the laws of the People's Republic of Bangladesh.
- The Civil Engineer assigned to this project must hold a valid professional license issued by the Bangladesh Council of Civil Engineers and must possess a minimum of ten (10) years of post-qualification experience in high-rise structural design and construction supervision in Bangladesh Dhaka.
- The Supplier shall provide a monthly progress report to the Buyer's project management office, detailing the work completed, pending items, and any structural concerns identified during the supervision period.
- Payment shall be made in monthly installments based on verified progress. The Buyer shall process payment within thirty (30) calendar days of receiving a valid tax invoice from the Supplier.
- The Civil Engineer shall comply with all safety regulations as mandated by the Bangladesh Labour Act 2006 and the Occupational Safety and Health (OSH) guidelines applicable to construction sites in Bangladesh Dhaka.
- Any variation in scope of work must be approved in writing through a formal Variation Order issued by the Buyer. No additional charges shall be accepted without prior written authorization under this Purchase Order.
- The Supplier warrants that all design calculations and structural drawings shall be free from errors and shall meet or exceed the requirements of BNBC 2020, IS 456, and ACI 318 standards as adopted for use in Bangladesh Dhaka.
- In the event of force majeure (including but not limited to natural disasters, government-imposed lockdowns, or civil unrest in Bangladesh Dhaka), either party may suspend obligations with written notice. The project timeline shall be extended accordingly.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Arbitration Act 2001 of Bangladesh. The language of arbitration shall be English.
- The Supplier shall maintain professional indemnity insurance of not less than BDT 50,000,000 for the duration of the contract, naming the Buyer as an additional insured party.
Acceptance and Authorization
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Civil Engineer for the construction project in Bangladesh Dhaka.
