- Payment Schedule: Payments shall be made in monthly installments corresponding to the progress of the Civil Engineer's deliverables, as verified by the project manager of Construtora Atlântica S.A. The first installment of 15% (BRL 91,200.00) shall be due within 10 business days of the signing of this Purchase Order.
- Currency and Tax: All amounts are expressed in Brazilian Reais (BRL). Applicable taxes, including ISS (Imposto Sobre Serviços) at the rate of 5% as levied by the Municipality of Rio de Janeiro, and any applicable withholding taxes under Brazilian federal law, shall be borne as stipulated in the applicable tax legislation of Brazil.
- Payment Method: Bank transfer (TED/PIX) to the account designated by the Civil Engineer's company, Menezes Engenharia Civil Ltda., at Banco do Brasil, Ag. 1234-5, Conta 67890-1.
- Invoice Requirements: The Civil Engineer shall issue a Nota Fiscal de Serviço (NFS-e) for each payment installment, in compliance with the electronic invoicing system of the City of Rio de Janeiro.
- 1. Professional Registration: The Civil Engineer shall maintain an active registration with the CREA-RJ (Conselho Regional de Engenharia e Agronomia do Estado do Rio de Janeiro) throughout the duration of this Purchase Order. Any lapse in registration shall constitute grounds for immediate termination.
- 2. Liability and Insurance: The Civil Engineer shall carry professional liability insurance (Seguro de Responsabilidade Civil Profissional) with a minimum coverage of BRL 2,000,000.00, valid throughout the project period in Rio de Janeiro, Brazil.
- 3. Intellectual Property: All structural designs, calculations, drawings, and technical documents produced under this Purchase Order shall be the exclusive property of Construtora Atlântica S.A. upon full payment.

Any disputes shall be submitted to the competent courts of the city of Rio de Janeiro, State of Rio de Janeiro, Brazil.
- 6. Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Civil Engineer shall be compensated for all services rendered up to the termination date, less any applicable penalties.
- 7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Rio de Janeiro metropolitan area, government-mandated shutdowns, or acts of war.
- 8. Compliance: The Civil Engineer warrants that all services shall comply with the ABNT standards, the municipal building regulations of Rio de Janeiro, and all applicable federal and state environmental and safety regulations of Brazil.
