5.1 Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 50% upon completion and acceptance of all design deliverables (Items 01–04), and 20% upon final acceptance of as-built documentation (Item 06).
5.2 All payments shall be processed via electronic funds transfer (EFT) to the vendor's designated bank account in Montreal, Canada, within thirty (30) calendar days of receipt of a valid invoice bearing the QST number of BICSL.
5.3 Late payments shall accrue interest at the rate prescribed under the Loi sur les intérêts (Règlement RLRQ c. I-14) of the Province of Québec.
6.1 Professional Standards. The Civil Engineer shall perform all services in accordance with the professional code of ethics of the Ordre des ingénieurs du Québec, applicable Canadian national standards (CSA, CAN/CGSB), and the specific by-laws of the City of Montreal governing civil infrastructure works.
6.2 Intellectual Property. All drawings, calculations, models, and reports produced under this Purchase Order shall become the exclusive property of Montreal Infrastructure Development Corporation upon full payment. The Civil Engineer retains the right to reference the project in professional portfolios with prior written consent.
6.3 Insurance and Indemnification. The Civil Engineer shall maintain professional liability insurance of no less than CAD $10,000,000 per occurrence throughout the duration of the engagement. The vendor shall indemnify and hold harmless the Buyer against any claims arising from negligent design or professional error.
6.4 Governing Law and Dispute Resolution. This Purchase Order shall be governed by and construed in accordance with the Civil Code of Québec and the federal laws of Canada applicable in the Province of Québec. Any dispute arising hereunder shall be resolved by binding arbitration administered by the Chambre de commerce du Montréal, in the city of Montreal, Canada, in the French or English language at the election of the claimant.
6.5 Confidentiality. Both parties agree to maintain strict confidentiality regarding all project data, site-specific geotechnical information, and proprietary hydraulic models related to this Montreal infrastructure project.
6.6 Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Civil Engineer shall be compensated for all services rendered up to the date of termination, less any applicable deductions for incomplete deliverables.
6.7 Compliance with Canadian and Québec Legislation. The vendor warrants that all services shall comply with the Loi sur le bâtiment, the Loi sur les cités et les villes, and all applicable federal regulations of Transport Canada and Environment and Climate Change Canada where relevant to the Montreal project site.
