This Purchase Order is issued by Northwest Infrastructure & Development Corp. (hereinafter referred to as the "Purchaser") to Coastal Civil Engineering & Design Ltd. (hereinafter referred to as the "Vendor") for the provision of professional Civil Engineer services in connection with the "Vancouver Eastside Mixed-Use Development" project located at 2200-2400 East 41st Avenue, Vancouver, British Columbia, Canada. The Civil Engineer shall be responsible for the complete design, review, and technical oversight of all civil infrastructure components, including but not limited to site grading, stormwater management, sanitary and potable water systems, road and pavement design, retaining structures, and utility coordination. All deliverables must comply with the City of Vancouver Building and Zoning Bylaws, the British Columbia Building Code, and applicable federal and provincial environmental regulations governing construction within the metropolitan area of Vancouver, Canada.

The Civil Engineer engaged under this Purchase Order shall deliver the following, all to be produced in accordance with the standards of the BC Institute of Engineers and Geoscienties and the professional practice guidelines applicable in Vancouver, Canada:

  • Complete set of stamped civil engineering drawings (PDF and CAD .dwg format) for municipal submission to the City of Vancouver Development Services department.
  • Hydraulic and hydrological modelling reports compliant with the Vancouver Stormwater Management Manual.
  • Geotechnical coordination reports referencing site-specific borehole data from the Vancouver coastal sedimentary basin.
  • Seismic design calculations per the 2020 British Columbia Building Code, Part 4, for the Vancouver seismic zone (Zone 2B).
  • Monthly progress reports and a final project closeout report.
  • Two (2) on-site coordination meetings per month with the Purchaser's project manager and the general contractor during the construction phase.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Vancouver, British Columbia, Canada, in accordance with the BC Arbitration Act.
  2. Payment: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of receipt of a valid invoice bearing the Vendor's GST/HST registration number. Late payments shall accrue interest at the rate prescribed under the British Columbia Interest Act.
  3. Insurance: The Civil Engineer and Vendor shall maintain professional liability insurance of no less than $5,000,000 per occurrence and $10,000,000 aggregate, as well as commercial general liability insurance, for the duration of the engagement in Vancouver, Canada.
  4. Confidentiality: All project data, site plans, and proprietary information exchanged under this Purchase Order shall be treated as confidential and shall not be disclosed to third parties without written consent, in compliance with the Personal Information Protection Act (PIPA) of British Columbia.
  5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Vendor shall be compensated for all Civil Engineer services rendered up to the effective date of termination.
  6. Compliance: The Vendor warrants that all Civil Engineer deliverables shall comply with the Vancouver Building and Zoning Bylaw, the BC Building Code, the Environmental Protection Act (BC), and all applicable federal regulations of Canada.
  7. Change Orders: Any modification to the scope of Civil Engineer services must be documented in a written Change Order signed by both parties prior to execution of the additional work.

By signing below, both parties acknowledge and agree to the terms, conditions, scope, and pricing set forth in this Purchase Order for the Civil Engineer services to be performed in Vancouver, British Columbia, Canada.
